This Purchase Order is issued by Nile Valley Digital Solutions Ltd. to procure the professional services of a qualified Software Engineer to be deployed and performing duties within the operational jurisdiction of Sudan Khartoum. The engagement is structured as a fixed-term professional services contract for a period of twelve (12) months, commencing on 1 August 2025 and concluding on 31 July 2026, subject to renewal by mutual written agreement.
The Software Engineer shall be responsible for the design, development, testing, deployment, and ongoing maintenance of enterprise-grade software applications for the buyer's internal operations and client-facing digital platforms. The role requires a minimum of five (5) years of demonstrated experience in full-stack software development, proficiency in at least two modern programming languages (including but not limited to Python, Java, C#, or TypeScript), and working knowledge of cloud infrastructure services. The Software Engineer shall report directly to the Chief Technology Officer of Nile Valley Digital Solutions Ltd. and shall perform all duties from the buyer's primary office located in Al-Muraj, Sudan Khartoum, with a minimum on-site presence of five (5) working days per week.

All prices are quoted in Sudanese Pounds (SDG) and are inclusive of all applicable taxes, levies, and statutory deductions as mandated by the Republic of Sudan. No additional charges shall be incurred without prior written amendment to this Purchase Order.
Payment for the services rendered under this Purchase Order shall be made on a monthly basis via bank transfer to the supplier's designated account at a commercial bank operating in Sudan Khartoum. Invoices shall be submitted by the fifth (5th) business day of each month for the preceding month's services. Payment shall be processed within fifteen (15) business days of receipt of a valid invoice. Late payments shall attract an interest charge of 1.5% per month, calculated on the outstanding balance, in accordance with Sudanese commercial law.
- Governing Law: This Purchase Order and all associated agreements shall be governed by and construed in accordance with the laws of the Republic of Sudan. Any disputes arising shall be subject to the exclusive jurisdiction of the competent courts in Sudan Khartoum.
- Confidentiality: The Software Engineer shall be bound by a strict non-disclosure agreement covering all proprietary code, architectural designs, client data, and business strategies encountered during the engagement in Sudan Khartoum. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All software, code, documentation, and deliverables produced by the Software Engineer in the course of this engagement shall be the sole and exclusive property of Nile Valley Digital Solutions Ltd. upon full payment.
- Compliance: The supplier and the Software Engineer shall comply with all applicable labor laws, data protection regulations, and professional standards in force in Sudan Khartoum and the Republic of Sudan at the time of performance.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, all work-in-progress shall be delivered, and final settlement shall be completed within twenty (20) business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or pandemics affecting operations in Sudan Khartoum.
- Insurance: The supplier shall maintain professional liability insurance with a minimum coverage of SDG 10,000,000 for the duration of the engagement, with the buyer named as an additional insured party.
- Amendments: No modification, amendment, or waiver of any provision of this Purchase Order shall be effective unless made in writing and signed by authorized representatives of both parties.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Software Engineer in Sudan Khartoum. This document constitutes a binding commercial agreement upon execution by both authorized signatories.
