- This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order relating to the engagement of the Software Engineer in Thailand Bangkok shall be resolved through arbitration at the Thai Arbitration Institute in Bangkok.
- The Supplier warrants that the Software Engineer placed under this Purchase Order shall possess a minimum of seven (7) years of professional software engineering experience, including at least three (3) years in full-stack development using modern JavaScript/TypeScript and Python ecosystems.
- The Software Engineer shall commence duties no later than 1 August 2025 at the Buyer’s premises in Thailand Bangkok. A 30-day probationary period shall apply, during which either party may terminate this Purchase Order with written notice.
- Payment shall be made via bank transfer to the Supplier’s designated account in Thailand Bangkok within thirty (30) calendar days of receipt of a valid tax invoice (Fap Tur) issued in accordance with the Revenue Code of Thailand.
- The Supplier is responsible for ensuring the Software Engineer complies with all Thai labor laws, including the Labour Protection Act B.E. 2541 (1998), Social Security Act, and applicable work permit regulations for the Thailand Bangkok metropolitan area.
- Confidentiality: The Software Engineer shall be bound by a non-disclosure agreement (NDA) covering all proprietary source code, system architectures, client data, and business strategies of the Buyer. This obligation survives termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All code, documentation, designs, and deliverables produced by the Software Engineer during the term of this Purchase Order while working in Thailand Bangkok shall be the sole and exclusive property of the Buyer.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No verbal modifications to the scope of the Software Engineer’s responsibilities are binding.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting Thailand Bangkok, government-mandated shutdowns, or pandemics, provided written notice is given within five (5) business days.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the Software Engineer services in Thailand Bangkok and supersedes all prior negotiations, representations, and agreements.
