This Purchase Order authorizes the procurement of professional Software Engineer services to be rendered in Uganda Kampala. The Software Engineer shall deliver the following within the stipulated twelve-month period:
- Completion of the full-stack ERP platform including front-end user interfaces, back-end microservices, and a PostgreSQL database schema, all hosted on the buyer's private cloud infrastructure located in Uganda Kampala.
- Weekly sprint reviews and bi-weekly stakeholder demonstrations to the buyer's executive team.
- Delivery of complete technical documentation, including API specifications, deployment guides, and source code repositories with full commit history.
- A minimum of ninety-six (96) hours of post-deployment technical support and bug remediation within the first three months following final delivery.
- Compliance with all data protection requirements under the Uganda Data Protection and Privacy Act, 2019, ensuring that all user data processed by the Software Engineer remains within the jurisdiction of Uganda Kampala.
- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be performed in Uganda Kampala unless otherwise agreed in writing.
- Payment shall be made in Ugandan Shillings (UGX) via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 2% per month as stipulated under the Uganda Interest Act.
- The Software Engineer engaged under this Purchase Order shall be subject to the buyer's code of conduct, confidentiality agreements, and intellectual property policies. All code, designs, and documentation produced shall be the exclusive property of East African Digital Solutions Ltd.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the termination date, and the Software Engineer shall be transitioned off the project in an orderly manner.
- The supplier warrants that the Software Engineer assigned to this engagement possesses a minimum of seven (7) years of professional experience in full-stack software development and holds a recognized degree in Computer Science, Software Engineering, or a related field.
- All disputes arising from this Purchase Order shall be resolved through arbitration in Uganda Kampala in accordance with the Arbitration Act, Cap 72 of the Laws of Uganda. The governing law of this document shall be the laws of the Republic of Uganda.
- The supplier shall maintain professional indemnity insurance with a minimum cover of UGX 50,000,000 for the duration of this Purchase Order.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall hold no legal effect.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Software Engineer in Uganda Kampala.
