OF SERVICESThis Purchase Order is issued by Al Noor Digital Solutions LLC (hereinafter referred to as the "Buyer") to TechBridge Consulting FZ-LLC (hereinafter referred to as the "Supplier") for the provision of a qualified Software Engineer to support the Buyer's ongoing digital transformation programme. The Software Engineer shall be physically stationed at the Buyer's premises located on Al Reem Island, Abu Dhabi, United Arab Emirates, and shall report directly to the Buyer's Chief Technology Officer.
The scope of work for the Software Engineer includes, but is not limited to: the design, development, testing, and deployment of enterprise-grade software applications; the maintenance and optimisation of existing codebases; the implementation of cloud-native microservices architecture; the provision of technical documentation; and the participation in agile development sprints. The Software Engineer shall possess a minimum of seven (7) years of professional experience in full-stack software development, with demonstrated proficiency in Java, Python, C#, and modern cloud platforms including AWS and Microsoft Azure.
2. DURATION AND COMMENCEMENTThe engagement of the Software Engineer under this Purchase Order shall commence on 1 July 2025 and shall continue for an initial period of twelve (12) months, concluding on 30 June 2026. The engagement may be extended by mutual written agreement of both parties, subject to the terms and conditions set forth herein. All work shall be performed within the jurisdiction of Abu Dhabi, United Arab Emirates, in accordance with the working hours and public holiday calendar established by the Abu Dhabi Department of Economic Development.

Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid tax invoice from the Supplier. All payments shall be remitted via bank transfer to the Supplier's designated corporate account in the United Arab Emirates. The Buyer reserves the right to withhold payment for any deliverables that do not meet the acceptance criteria defined in the Statement of Work annexed to this Purchase Order.
4. TERMS AND CONDITIONS- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates and the specific regulations of the Emirate of Abu Dhabi. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the Abu Dhabi Courts, unless otherwise agreed in writing by both parties.
- Compliance with UAE Labour Law: The Supplier shall ensure that the Software Engineer is employed in full compliance with Federal Decree-Law No. 33 of 2021 (UAE Labour Law) and all applicable Abu Dhabi municipal and federal regulations. The Supplier shall be solely responsible for all employer statutory obligations, including end-of-service gratuity, annual leave, and social security contributions.
- Confidentiality and Data Protection: The Software Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) and shall comply with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. All source code, architectural designs, and proprietary information developed under this Purchase Order shall remain the exclusive intellectual property of the Buyer.
- Performance Standards: The Software Engineer shall adhere to the Buyer's established coding standards, code review processes, and quality assurance protocols. Performance shall be evaluated on a quarterly basis, and failure to meet agreed key performance indicators (KPIs) for two consecutive quarters shall entitle the Buyer to terminate this Purchase Order with thirty (30) days' written notice.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall ensure an orderly transition of all work-in-progress, documentation, and access credentials within fourteen (14) days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or disruptions specific to the United Arab Emirates Abu Dhabi region.
- Anti-Bribery and Compliance: Both parties warrant compliance with the UAE Anti-Corruption Law and all applicable anti-bribery regulations. Any violation shall constitute grounds for immediate termination of this Purchase Order.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Software Engineer in Abu Dhabi, United Arab Emirates, and that all terms, conditions, and financial obligations set forth herein are accepted in full. This Purchase Order supersedes all prior negotiations, representations, and agreements between the parties with respect to the subject matter hereof.
