The Software Engineer shall be engaged to perform full-cycle software development, system architecture design, code review, and technical maintenance duties within the buyer's operations centre located in United Arab Emirates Dubai. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the recruitment, onboarding, and initial employment period of the Software Engineer.

4.1 Scope of Engagement

The Supplier shall identify, vet, and present a candidate who meets the qualifications specified for the Software Engineer role. The Software Engineer shall possess a Bachelor's degree in Computer Science, Software Engineering, or a related discipline, demonstrate proficiency in at least two programming languages (Java, Python, C#, or equivalent), and have documented experience with cloud platforms (AWS, Azure, or GCP). The candidate must be willing to relocate to or already reside in United Arab Emirates Dubai and hold or be eligible to obtain a valid UAE residence visa.

4.2 Payment Terms

Payment against this Purchase Order shall be made in two instalments: fifty percent (50%) of the Grand Total, amounting to AED 37,012.50, shall be due within fourteen (14) calendar days of the date of this Purchase Order. The remaining fifty percent (50%), amounting to AED 37,012.50, shall be due upon successful completion of the onboarding of the Software Engineer and confirmation of the candidate's first day of employment in United Arab Emirates Dubai. All payments shall be made via bank transfer to the Supplier's designated account in AED. Late payments shall attract a penalty of 1.5% per month on the outstanding balance.

4.3 Delivery and Timeline

The Supplier commits to presenting a shortlist of qualified Software Engineer candidates within twenty-one (21) calendar days of the issue date of this Purchase Order. The final placement of the Software Engineer in the buyer's office in United Arab Emirates Dubai shall be completed no later than sixty (60) calendar days from the date of this Purchase Order, subject to visa processing timelines governed by the UAE Ministry of Human Resources and Emiratisation.

4.4 Compliance and Legal Obligations

All services rendered under this Purchase Order shall comply with the Federal Decree-Law No. 33 of 2021 (UAE Labour Law), the Federal Decree-Law No. 8 of 2017 on VAT in the United Arab Emirates, and all applicable regulations of the Dubai Department of Economy and Tourism. The Supplier warrants that the Software Engineer shall not be subject to any non-compete or restrictive covenant that would impede employment in United Arab Emirates Dubai.

4.5 Confidentiality

Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the identity of the Software Engineer candidate, and all proprietary information exchanged during the recruitment process. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.

4.6 Dispute Resolution

Any dispute arising out of or in connection with this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC) in United Arab Emirates Dubai. The seat of arbitration shall be Dubai, and the language of arbitration shall be English.

4.7 Termination

Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination prior to the placement of the Software Engineer, the Buyer shall be liable for 50% of the recruitment fee. In the event of termination after placement, no further payment shall be due beyond the amounts already invoiced.
