1. Scope of Engagement: This Purchase Order authorises the procurement of professional services for the role of Software Engineer. The appointed Software Engineer shall report directly to the Director of Engineering at Meridian Digital Solutions Ltd. and shall perform all duties from the buyer's office located in United Kingdom London. The contract term shall be twelve (12) months commencing on 1 September 2025, with an option to extend by mutual written agreement.
2. Payment Terms: Payment for this Purchase Order shall be made on a monthly basis in arrears, within thirty (30) days of receipt of a valid invoice from Apex Talent Partners Ltd. All payments shall be made via BACS transfer to the supplier's designated bank account in the United Kingdom. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3. Location and Working Arrangements: The Software Engineer shall be required to work from the buyer's premises at 42 Finsbury Square, London EC2A 1AH, United Kingdom London, for a minimum of four (4) days per week. Remote working for one (1) day per week may be permitted at the sole discretion of the buyer's management. All work shall be performed in compliance with applicable United Kingdom employment law and the specific regulations governing professional services in United Kingdom London.
4. Intellectual Property: All work product, code, documentation, designs, and deliverables created by the Software Engineer in the course of this engagement shall be the sole and exclusive property of Meridian Digital Solutions Ltd. The Software Engineer hereby assigns all intellectual property rights arising from the performance of duties under this Purchase Order to the buyer.
5. Confidentiality and Data Protection: The Software Engineer shall be bound by strict confidentiality obligations in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All sensitive information pertaining to the buyer's systems, clients, and operations in United Kingdom London shall be treated as confidential and shall not be disclosed to any third party without prior written consent.
6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, termination may be effected immediately upon written notice. Upon termination, the Software Engineer shall return all company property, access credentials, and documentation to the buyer's United Kingdom London office.
7. Governing Law: This Purchase Order and any disputes arising therefrom shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
8. Insurance and Indemnity: The supplier shall maintain adequate professional indemnity insurance and public liability insurance throughout the term of this Purchase Order. The supplier shall indemnify the buyer against any claims, losses, or damages arising from the negligence or default of the Software Engineer or the supplier's personnel.
