2. Work Location and Schedule: All Software Engineers engaged under this Purchase Order shall perform their duties primarily at the buyer's facility located in United States Houston, Texas. All work shall be conducted during standard business hours of 8:00 AM to 5:00 PM Central Time, Monday through Friday.

3. Payment Terms: Payment for services rendered under this Purchase Order shall be made on a net-45 basis from the date of invoice receipt. Invoices shall be submitted on the last business day of each calendar month. Late payments shall accrue interest at a rate of 1.5% per month. All payments shall be made via ACH transfer to the account designated by Lone Star Tech Talent Partners, Inc. The total Purchase Order value of $603,000.00 represents the annual commitment and is subject to quarterly performance reviews.

4. Performance and Evaluation: Each Software Engineer shall undergo a formal performance evaluation at the 90-day, 6-month, and 12-month marks. The buyer reserves the right to request replacement of any Software Engineer who fails to meet the agreed-upon performance benchmarks, with a 30-day written notice period. The seller shall provide a qualified replacement Software Engineer within fifteen (15) business days of such a request.

5. Compliance and Legal: All Software Engineers shall comply with applicable federal, state, and local laws of the United States, including but not limited to the Texas Labor Code, the Americans with Disabilities Act, and all data protection regulations. The seller warrants that each Software Engineer is legally authorized to work in the United States and that all employment taxes, workers' compensation, and benefits obligations are the sole responsibility of the seller.

6. Confidentiality and Non-Disclosure: Each Software Engineer shall execute a mutual Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary information, trade secrets, source code, and business strategies of the buyer encountered during the engagement in United States Houston shall remain strictly confidential for a period of three (3) years following the termination of this Purchase Order.

7. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, the non-breaching party may terminate with fifteen (15) days written notice. Upon termination, the seller shall ensure a smooth knowledge transfer and handover of all in-progress work to the buyer's internal team.

8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.
