- This Purchase Order constitutes a binding agreement between Pacific Crest Digital Solutions, Inc. (hereinafter "Buyer") and Apex Talent Partners LLC (hereinafter "Vendor") for the procurement of Software Engineer professional services to be rendered in United States Los Angeles, California.
- All Software Engineer personnel placed under this Purchase Order shall report to the Buyer's office located at 4500 Wilshire Boulevard, United States Los Angeles, CA 90010, Monday through Friday, 9:00 AM to 5:30 PM Pacific Time, unless otherwise agreed in writing.
- The Vendor warrants that each Software Engineer candidate shall possess a minimum of four (4) years of relevant professional experience, valid work authorization in the United States, and demonstrated proficiency in the technologies specified in the project scope.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-LA-2025-04872) and be submitted to accounts payable at Pacific Crest Digital Solutions, United States Los Angeles.
- The Vendor shall be responsible for all payroll taxes, workers' compensation insurance, unemployment insurance, and California state-mandated benefits for each Software Engineer engaged under this Purchase Order.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered through the effective date of termination.
- All work product, source code, documentation, and intellectual property created by the Software Engineer personnel during the term of this Purchase Order shall be the sole property of the Buyer.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with venue in the Superior Court of Los Angeles County, United States Los Angeles.
- The Vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence for all Software Engineer activities conducted in United States Los Angeles.
- Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding Software Engineer assignments or scope changes are not binding.
- The Vendor shall comply with all applicable federal, state, and local labor laws, including but not limited to California Labor Code provisions, the Fair Labor Standards Act, and all regulations applicable to professional services engagements in United States Los Angeles.
