This Purchase Order is issued by Andes Digital Solutions C.A. to formally request and authorize the procurement of a qualified Software Engineer to be deployed and performing professional duties within the metropolitan area of Venezuela Caracas. The selected Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-level software applications that support the operational infrastructure of our client organizations across the Caracas region. The engagement is structured as a twelve (12) month professional services contract, renewable upon mutual written agreement of both parties.

1. This Purchase Order constitutes a binding agreement between Andes Digital Solutions C.A. and TechTalent Venezuela C.A. for the provision of Software Engineer services in Venezuela Caracas, effective upon signature by both authorized representatives.
2. The Software Engineer shall comply with all applicable labor regulations of the Bolivarian Republic of Venezuela, including but not limited to the Organic Labor Law (LOTT) and local ordinances governing professional services in the Caracas metropolitan area.
3. Payment terms: Net 30 days from the date of invoice submission. Invoices shall be issued monthly in US Dollars (USD) and remitted via bank transfer to the account designated by the vendor. Late payments shall accrue interest at 1.5% per month as stipulated in Venezuelan commercial law.
4. The Software Engineer is required to maintain strict confidentiality regarding all proprietary source code, architectural documentation, client data, and business strategies encountered during the engagement in Venezuela Caracas. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the start date.
5. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the vendor shall be compensated for services rendered up to the termination date, and the Software Engineer shall complete a full knowledge-transfer handover to the Venezuela Caracas team.
6. All intellectual property, including but not limited to source code, algorithms, documentation, and design artifacts produced by the Software Engineer during the term of this contract, shall be the exclusive property of Andes Digital Solutions C.A.
7. Disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Venezuelan Chamber of Commerce, prior to any judicial proceedings.
8. The vendor guarantees that the Software Engineer assigned to this Purchase Order possesses a minimum of five (5) years of professional experience in software engineering, a recognized university degree in Computer Science or a related field, and demonstrated proficiency in the technologies specified in Section 3.
