This Purchase Order is issued by TechBridge Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to engage the services of a qualified Software Engineer for the development, maintenance, and optimization of enterprise-level software applications. The Software Engineer shall be physically based and perform all professional duties within the metropolitan area of Vietnam Ho Chi Minh City, ensuring full compliance with local labor regulations, data protection standards, and intellectual property laws applicable in the region.

The engagement of this Software Engineer is intended to support the Buyer's ongoing digital transformation initiative, which includes the design and deployment of a cloud-native customer relationship management platform, the migration of legacy systems to modern microservices architecture, and the establishment of a robust continuous integration and continuous deployment pipeline. All work related to this Purchase Order shall be conducted at the Buyer's primary office located in District 1, Vietnam Ho Chi Minh City, or at such other location within Vietnam Ho Chi Minh City as mutually agreed upon in writing by both parties.

1. Place of Performance: All services under this Purchase Order shall be rendered by the Software Engineer or team of Software Engineers at the designated office premises in Vietnam Ho Chi Minh City. Remote work may be permitted for up to two (2) days per week, provided that all deliverables remain accessible and all team meetings are conducted in real time.
2. Payment Terms: The Buyer shall remit payment within thirty (30) calendar days from the date of invoice issuance. Payment shall be made via bank transfer to the Supplier's designated account in a Vietnamese commercial bank. The total value of this Purchase Order is one billion seven hundred thirty-eight million Vietnamese Dong (VND 1,738,000,000), inclusive of applicable Value Added Tax.
3. Intellectual Property: All code, documentation, designs, and deliverables produced by the Software Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Supplier warrants that no third-party intellectual property rights are infringed by the work performed in Vietnam Ho Chi Minh City.
4. Confidentiality: The Software Engineer and all associated personnel shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
5. Compliance with Local Law: The Supplier shall ensure that the engagement of the Software Engineer complies with all applicable labor laws, immigration regulations (if applicable), tax obligations, and professional licensing requirements in force in Vietnam Ho Chi Minh City and the Socialist Republic of Vietnam at large.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Software Engineer shall deliver all work-in-progress materials to the Buyer within seven (7) business days of termination.
7. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to arbitration under the rules of the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City. The language of arbitration shall be English.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Vietnam Ho Chi Minh City.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Software Engineer services in Vietnam Ho Chi Minh City. This document constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature.
