4.1 This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through mediation in the Canada Vancouver jurisdiction before proceeding to arbitration under the British Columbia International Commercial Arbitration Centre (BCICAC).

4.2 The Special Education Teacher engaged under this Purchase Order shall comply with all applicable regulations set forth by the British Columbia Ministry of Education, the Canada Vancouver School Board policies, and the Education Act (British Columbia). The teacher shall maintain a current Teaching Certificate and adhere to the Code of Professional Conduct established by the BC College of Teachers.

4.3 The vendor shall ensure that the Special Education Teacher is covered under a valid professional liability insurance policy with a minimum coverage of $2,000,000 per occurrence, naming the Vancouver Special Education Services Authority as an additional insured party.

4.4 Payment shall be processed via electronic funds transfer (EFT) to the vendor's designated Canadian banking institution within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-VAN-04872) and include the vendor's Business Number for tax compliance purposes.

4.5 The vendor reserves the right to substitute the assigned Special Education Teacher with a qualified replacement of equivalent or superior credentials, provided that a minimum of fourteen (14) days' written notice is given to the Vancouver Special Education Services Authority and the replacement meets all qualification criteria specified in Section 2 of this Purchase Order.

4.6 This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination for convenience, the vendor shall be compensated for services rendered up to the effective date of termination, less any applicable deductions.

4.7 All personal information collected in connection with this Purchase Order, including student records and employee data, shall be handled in strict compliance with the Personal Information Protection Act (PIPA) of British Columbia and the federal Privacy Act of Canada.

The Special Education Teacher shall report for duty at the designated Canada Vancouver school site no later than 7:30 AM on September 1, 2025. The vendor shall confirm the teacher's availability and complete all onboarding documentation, including the Canada Vancouver district orientation, no later than August 15, 2025. Failure to meet the commencement date without prior written approval from the purchasing authority shall result in a penalty of $500.00 CAD per day of delay, up to a maximum of $5,000.00 CAD.

This Purchase Order is valid upon signature by an authorized representative of the Vancouver Special Education Services Authority and acceptance by the vendor. No modifications to this Purchase Order shall be binding unless made in writing and signed by both parties.
