4. TERMS AND CONDITIONS
  • Payment Terms: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon successful onboarding of all Special Education Teachers, and 25% upon completion of the first full academic term. All payments shall be processed via bank transfer to the account designated by the Supplier.
  • Commencement Date: All Special Education Teacher services shall commence no later than September 1, 2025, aligning with the start of the new academic year in China Guangzhou.
  • Compliance: The Supplier guarantees that all Special Education Teachers placed under this Purchase Order hold valid credentials issued by the Guangdong Provincial Department of Education and comply with all applicable regulations of the People's Republic of China regarding special education, child protection, and labor law.
  • Performance Standards: Each Special Education Teacher shall conduct a minimum of 20 instructional hours per week, maintain detailed student progress records, and participate in all mandated staff meetings and inter-agency coordination sessions within China Guangzhou.
  • Confidentiality: All student records, IEP documents, and personal data handled by the Special Education Teacher team shall be protected in accordance with the Personal Information Protection Law of the People's Republic of China. Breach of confidentiality shall result in immediate termination of this Purchase Order and legal liability.
  • Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Supplier for services rendered up to the termination date.
  • Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the auspices of the Guangzhou Arbitration Commission. If mediation fails, the matter shall be submitted to the competent People's Court in Guangzhou, Guangdong Province, China.
  • Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China.
5. SPECIAL CONDITIONS FOR CHINA GUANGZHOU DEPLOYMENT

Given the specific educational landscape of China Guangzhou, the Supplier acknowledges the following conditions: All Special Education Teachers must demonstrate proficiency in Mandarin Chinese and, where applicable, Cantonese, to ensure effective communication with students, parents, and local administrative staff. The Supplier shall coordinate with the Guangzhou Municipal Health Commission to ensure that all Special Education Teachers undergo mandatory health screenings and background checks prior to deployment. Additionally, the Supplier shall provide a bilingual (Chinese-English) service report to the Buyer on a monthly basis, summarizing student progress, classroom observations, and any resource needs identified by the Special Education Teacher team across all China Guangzhou sites.
