- Acceptance: This Purchase Order shall become binding upon written acceptance by both parties. The Seller must confirm acceptance in writing within five (5) business days of the date of issue. Failure to respond within this period shall constitute a rejection of this Purchase Order.
- Commencement of Services: The Special Education Teacher shall commence duties at the Buyer's facility in China Shanghai no later than 1 September 2025, coinciding with the start of the autumn academic term. The Seller is responsible for ensuring all immigration, work permit, and residency documentation is finalized prior to this date.
- Qualification Requirements: The Special Education Teacher must possess a bachelor's degree or higher in Special Education, Rehabilitation Counseling, or a closely related field from an accredited institution. A valid teaching license recognized by the Shanghai Municipal Education Commission is mandatory. The Seller warrants that the candidate meets all statutory requirements for employment in the special education sector in China Shanghai.
- Payment Schedule: Payment shall be made in monthly installments via bank transfer to the Seller's designated account in China Shanghai. The first payment is due within thirty (30) calendar days of the commencement date. Subsequent payments are due on the first business day of each following month. All payments are denominated in Chinese Yuan (CNY).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Seller shall facilitate the orderly transition of the Special Education Teacher's responsibilities to a successor or the Buyer's internal staff.
- Compliance and Regulatory Adherence: The Seller guarantees that all services provided under this Purchase Order comply with the laws and regulations of the People's Republic of China, the local ordinances of China Shanghai, and the specific administrative rules governing special education institutions. The Special Education Teacher shall be subject to background checks, health examinations, and annual regulatory reviews as mandated by the Pudong New Area Education Bureau.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the personal information, medical records, and educational records of all students under the care of the Special Education Teacher. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the Shanghai International Arbitration Center (SHIAC) in China Shanghai for binding arbitration in accordance with its rules of procedure. The language of arbitration shall be Chinese.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting China Shanghai.
- Entire Agreement: This Purchase Order, together with any attached schedules and the underlying service agreement, constitutes the entire agreement between the parties regarding the engagement of the Special Education Teacher and supersedes all prior negotiations, representations, and agreements.
