1. Description of Procured ServicesThis Purchase Order is issued by the Cairo Metropolitan Special Education Directorate to formally procure the professional services of a qualified Special Education Teacher for deployment at Al-Noor Integrated Special Needs School, located in the Heliopolis district of Cairo, Egypt. The Special Education Teacher shall be responsible for the design, implementation, and evaluation of individualized education programs (IEPs) for students with diverse learning needs, including but not limited to autism spectrum disorder, intellectual disabilities, hearing impairments, visual impairments, and specific learning difficulties.
The Special Education Teacher engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Special Education from an accredited Egyptian university (such as Ain Shams University, Cairo University, or the American University in Cairo) and possess a valid teaching license issued by the Egyptian Ministry of Education. A minimum of five (5) years of documented experience in special education within the Egyptian school system is required. Fluency in Arabic is mandatory, and proficiency in English is strongly preferred given the bilingual curriculum framework adopted by the Cairo Governorate's inclusive education program.

- Payment Schedule: The total amount of EGP 396,720.00 shall be disbursed in ten (10) equal monthly installments of EGP 39,672.00, payable within fifteen (15) business days following the end of each calendar month, commencing September 2025.
- Payment Method: All payments shall be made via bank transfer to the designated account of Nile Delta Educational Staffing Solutions LLC at Commercial International Bank (CIB), Cairo Branch, IBAN: EG38 CIBL 0001 0100 0000 1234 5678.
- Withholding Tax: The buyer shall withhold the applicable income tax as prescribed by the Egyptian Tax Authority (Article 12 of the Income Tax Law) and remit it on behalf of the service provider.
- Late Payment Penalty: In the event of delayed payment beyond the stipulated fifteen (15) business days, a penalty of 1.5% per month on the outstanding balance shall apply, in accordance with Egyptian commercial law.

The Special Education Teacher assigned under this Purchase Order must comply with all regulations set forth by the Egyptian Ministry of Education and the Cairo Governorate's Special Education Council. The teacher shall undergo a background check through the Egyptian National Police (Al-Muqata'a) prior to commencement of duties. All employment terms must adhere to Egyptian Labor Law No. 12 of 2003 and the Social Insurance Law No. 79 of 1975. 5. Termination and CancellationEither party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination by the buyer for cause (including but not limited to the Special Education Teacher's failure to meet performance benchmarks, violation of Egyptian labor regulations, or conduct unbecoming of an educator in a Cairo public school), no further payment shall be due beyond the month of termination. The seller shall be responsible for any statutory severance obligations owed to the Special Education Teacher under Egyptian law.
6. Governing Law and Dispute ResolutionThis Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from or in connection with this Purchase Order shall be resolved through the competent courts of Cairo, Egypt. Both parties agree to attempt amicable resolution through mediation before initiating any legal proceedings.
