- Qualification Requirements: All Special Education Teachers engaged under this Purchase Order must hold a valid French teaching certification (Capacités en Éducation Spéciale) and a minimum of three (3) years of documented experience in special education within France. Candidates must also demonstrate proficiency in the French language (CECRL Level C1 or above) and familiarity with the individualized education plan (Projet d'Accompagnement Personnalisé — PAP) framework used in Paris schools.
- Place of Performance: All services shall be rendered exclusively within the administrative boundaries of the city of Paris, France (75001–75020). The Special Education Teacher shall report to the designated school site within the specified arrondissement as outlined in Section 2.
- Delivery & Commencement: Services shall commence on 2 September 2025 and continue through 30 June 2026, constituting one full French academic year. Any extension beyond this period shall require a written amendment to this Purchase Order.
- Payment Terms: Payment shall be made in quarterly installments (30% upon commencement, 30% at the end of the second quarter, 40% upon satisfactory completion of the academic year). Invoices shall be submitted to the Académie de Paris accounts payable department in Paris, France, and payment shall be processed within thirty (30) calendar days of receipt of a valid invoice bearing the Purchase Order number.
- Compliance with French Law: The Supplier warrants that all Special Education Teachers shall be employed in full compliance with the French Labour Code (Code du Travail), the French Social Security regulations, and all applicable collective agreements for the education sector in France Paris. The Supplier shall bear full responsibility for social contributions, employer taxes, and statutory benefits.
- Confidentiality & Data Protection: All Special Education Teachers shall adhere strictly to the French Data Protection Act and the General Data Protection Regulation (GDPR) as applied in France. Student records, medical information, and individualized education plans shall be treated as confidential and shall not be disclosed to any third party without written authorization from the parents or legal guardians and the relevant school authority in Paris.
- Performance Standards: The Special Education Teacher shall conduct regular progress assessments (minimum monthly), maintain detailed student progress files, participate in multidisciplinary team meetings (Équipe Pluridisciplinaire) at least bi-weekly, and submit quarterly performance reports to the Direction des Ressources Humaines, Académie de Paris.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination for cause (e.g., failure to meet performance standards, breach of French regulatory requirements, or misconduct), the terminating party shall provide a minimum of fifteen (15) days' written notice with a detailed statement of grounds.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated school closures in Paris, France, or public health emergencies, provided that the affected party notifies the other in writing within five (5) business days.
