4.1 Commencement and Duration: The engagement of the Special Education Teacher shall commence on 1 July 2025 and continue through 30 April 2026, aligning with the academic calendar of the institution located in India New Delhi. Any extension beyond this period shall require a written amendment to this Purchase Order signed by both parties.
4.2 Payment Terms: Payment shall be made on a monthly basis via bank transfer (NEFT/RTGS) within 15 days of the end of each calendar month. The Special Education Teacher shall submit a detailed timesheet and service report by the 5th of the following month. The Buyer shall deduct TDS (Tax Deducted at Source) at the applicable rate as per the Income Tax Act, 1961, of India, and provide the relevant Form 16/16A certificate.
4.3 Performance Standards: The Special Education Teacher shall adhere to the guidelines issued by the National Council for Special Education (NCSE), the Rights of Persons with Disabilities Act, 2016, and the specific IEP frameworks adopted by the institution. Quarterly performance reviews shall be conducted by the Director of Inclusive Education at the New Delhi campus.
4.4 Confidentiality and Data Protection: All student records, assessment data, and personal information handled by the Special Education Teacher shall be treated as strictly confidential in accordance with the Information Technology Act, 2000, and applicable data protection norms in India New Delhi. No student data shall be shared with third parties without written parental consent.
4.5 Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for cause (including but not limited to professional misconduct, failure to meet performance benchmarks, or violation of child protection policies), the terminating party may issue notice with immediate effect. Upon termination, all institutional materials, student records, and assistive technology equipment provided by the Buyer shall be returned to the New Delhi premises.
4.6 Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be attempted to be resolved through mutual negotiation. Failing resolution within 30 days, the matter shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India. The language of arbitration shall be English.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of India. The courts of New Delhi, India, shall have exclusive jurisdiction over any matters not referred to arbitration.
4.8 Insurance and Liability: The Special Education Teacher shall maintain personal professional liability insurance with a minimum coverage of INR 50,00,000 throughout the engagement period. The Buyer shall provide institutional liability coverage for all activities conducted on the New Delhi campus premises.
4.9 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, pandemics, or civil unrest affecting the India New Delhi region. Affected services shall be rescheduled at the earliest practicable date.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Special Education Teacher at the institution's facility in India New Delhi. This document constitutes a binding agreement upon execution by both authorized signatories.
