- This Purchase Order constitutes a binding agreement between PT Pendidikan Inklusif Nusantara (hereinafter "the Buyer") and CV Guru Cerdas Inklusif (hereinafter "the Vendor") for the provision of Special Education Teacher services at the Buyer's campus located in Indonesia Jakarta.
- The Vendor shall ensure that all Special Education Teachers assigned under this Purchase Order meet the minimum qualifications, certifications, and experience levels specified in the line items above. The Buyer reserves the right to request replacement of any Special Education Teacher who fails to meet performance standards within 30 days of written notice.
- All Special Education Teachers shall commence their duties no later than 1 July 2025 at the Indonesia Jakarta campus. The contract period shall run for twelve (12) consecutive months, subject to renewal by mutual written agreement.
- The Vendor is responsible for all employment-related obligations, including but not limited to salary disbursement, BPJS Kesehatan and BPJS Ketenagakerjaan enrollment, annual leave, and statutory benefits for each Special Education Teacher in compliance with Indonesian labor law (UU No. 13 Tahun 2003).
- Payment shall be made in monthly installments via bank transfer to the Vendor's designated account. Each monthly invoice must be accompanied by a detailed attendance report and performance summary for all Special Education Teachers. Payment is due within thirty (30) calendar days of invoice receipt.
- The Vendor shall provide a comprehensive onboarding package for each Special Education Teacher, including orientation to the Indonesia Jakarta campus facilities, introduction to the student caseload, and alignment with the school's Individualized Education Program (IEP) framework.
- All teaching materials, student records, and assessment data generated by the Special Education Teachers shall remain the exclusive property of PT Pendidikan Inklusif Nusantara. The Vendor and its personnel shall sign a Non-Disclosure Agreement (NDA) prior to commencing work.
- In the event of force majeure, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Indonesia Jakarta, either party may suspend obligations under this Purchase Order without penalty, provided written notice is given within five (5) business days.
- Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, disputes shall be submitted to the competent court in South Jakarta, Indonesia Jakarta, in accordance with the laws of the Republic of Indonesia.
- This Purchase Order is valid for acceptance within thirty (30) days from the date of issue. Acceptance is confirmed by the Vendor's authorized signatory below.
