All prices are quoted in Iraqi Dinar (IQD) and are inclusive of applicable taxes, insurance, and any mandatory social security contributions as required by the labor laws of the Republic of Iraq. No additional charges shall be incurred without prior written approval from the Buyer's Procurement Division.
3. TERMS AND CONDITIONS- Commencement: The services described in this Purchase Order shall commence on 1 September 2025, coinciding with the start of the Iraqi academic year in Baghdad. The Special Education Teacher or teachers assigned under this Purchase Order must report to the designated school facilities in Iraq Baghdad no later than 07:30 AM on the first day of instruction.
- Duration: This Purchase Order is valid for one (1) full academic year, from 1 September 2025 through 28 June 2026, unless terminated earlier in accordance with Clause 8.
- Payment Terms: Payment shall be made in quarterly installments of 25% each, due within thirty (30) calendar days following the end of each quarter. The Buyer shall issue payment via bank transfer to the Seller's designated account at the Central Bank of Iraq, Baghdad branch. Late payments shall accrue interest at the rate of 2% per month as stipulated by Iraqi commercial law.
- Qualification Verification: Prior to the commencement of services, the Seller shall submit certified copies of the Special Education Teacher's academic credentials, professional licenses, criminal background clearance (obtained from the Baghdad Criminal Records Office), and a current medical fitness certificate. The Buyer reserves the right to verify all documents with the issuing institutions.
- Work Location: All services shall be rendered at the public school facilities located within the Baghdad Governorate, Republic of Iraq. The Special Education Teacher shall comply with all institutional policies, safety regulations, and cultural norms applicable to educational institutions in Iraq Baghdad.
- Performance Standards: The Special Education Teacher shall prepare and maintain Individualized Education Programs (IEPs) for each assigned student, conduct monthly progress assessments, and submit written reports to the school principal and the Baghdad Directorate of Education by the fifth (5th) business day of each month.
- Confidentiality: The Seller and the Special Education Teacher shall maintain strict confidentiality regarding all student records, medical information, and institutional data. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order and may result in legal action under Iraqi law.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The Buyer may terminate immediately for cause, including but not limited to failure to meet performance standards, misconduct, or failure to maintain required professional certifications. Upon termination, the Seller shall be compensated only for services rendered up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Baghdad, Iraq.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to acts of war, civil unrest, government sanctions, or natural disasters affecting the Baghdad region. The affected party shall notify the other in writing within five (5) business days of the occurrence.
The Seller shall ensure that the Special Education Teacher is physically present and fully operational at the assigned school location in Iraq Baghdad no later than the commencement date specified in Clause 3.1. The Buyer's designated school administrator shall conduct a formal acceptance inspection within the first ten (10) working days of service commencement. Acceptance shall be documented in a signed Acceptance Certificate, a copy of which shall be attached to this Purchase Order file.
