Payment shall be made in monthly instalments via bank transfer (bonifico bancario) to the Special Education Teacher's designated Italian bank account, within 30 days of the end of each calendar month.
The first payment of €4,775.00 shall be due by 30 September 2025, covering the month of September 2025 services rendered in Naples.
All payments are subject to the applicable Italian withholding tax (ritenuta d'acconto) of 20% for professional services, in accordance with the Italian Civil Code and the TUIR (Testo Unico delle Imposte sui Redditi).
Any late payment shall accrue interest at the rate established by the European Central Bank, plus two percentage points, as per Italian consumer and commercial law.
The total Purchase Order value of €57,300.00 is inclusive of all professional fees and exclusive of applicable Italian Value Added Tax (IVA), which shall be applied at the standard rate of 22% where legally required.

This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Italy, with exclusive jurisdiction of the competent courts of Naples (Napoli), Campania.
The Special Education Teacher shall comply with all provisions of the Italian Constitution (Articles 34 and 38), the Statuto dei Lavoratori (Law No. 300/1970), and the specific regulations of the Ministry of Education and Merit (Ministero dell'Istruzione e del Merito — MIM) regarding inclusive education in Naples and the Campania region.
The Special Education Teacher shall maintain full professional liability insurance (RC professionale) with a minimum coverage of €1,000,000 for the duration of this Purchase Order, valid throughout the territory of Italy.
Confidentiality: All student records, PEI documents, and personal data processed by the Special Education Teacher in Naples shall be handled in strict compliance with the EU General Data Protection Regulation (GDPR) and the Italian Data Protection Code (D.Lgs. 196/2003, as amended by D.Lgs. 101/2018).
Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination, the Special Education Teacher shall be compensated for all services rendered up to the termination date, plus a transition period of two weeks to ensure continuity of care for the Special Education students in Naples.
Disputes arising from this Purchase Order shall first be subject to mediation before the Camera di Commercio di Napoli (Naples Chamber of Commerce) before any judicial proceedings are initiated.
This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Special Education Teacher and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the subject matter herein.
