This Purchase Order is issued by the Abidjan Educational Services Consortium (AESC) to procure the professional services of a qualified Special Education Teacher for deployment at the AESC Integrated Learning Centre located in the Cocody district of Ivory Coast Abidjan. 3.1 Scope of Engagement: The Special Education Teacher engaged under this Purchase Order shall report directly to the Head of Inclusive Education at the AESC Integrated Learning Centre in Ivory Coast Abidjan. The teacher's primary duty station shall be the Cocody campus, with occasional travel to partner schools in the Abidjan metropolitan area as required by the inclusive education programme.
3.2 Contract Duration: The engagement period shall commence on 01 September 2025 and conclude on 31 August 2026, subject to satisfactory performance reviews. This Purchase Order may be renewed for an additional twelve (12) months upon mutual written agreement between AESC and the vendor, provided the Special Education Teacher meets all performance benchmarks established in the quarterly evaluation framework.
3.3 Payment Terms: Payment shall be made in monthly instalments of XOF 306,800 (one-twelfth of the total amount) via bank transfer to the account specified in Section 1. The first payment shall be due within fifteen (15) calendar days of the Special Education Teacher's confirmed start date at the Ivory Coast Abidjan facility. All payments are subject to receipt of a valid invoice and confirmation of the teacher's active service status.
3.4 Compliance and Legal Requirements: The vendor shall ensure that the Special Education Teacher holds all necessary work permits, residence visas, and professional certifications required by the Republic of Côte d'Ivoire. The teacher must also comply with all Ivorian labour laws, including those governing the employment of foreign nationals in the education sector. AESC reserves the right to withhold payment if any regulatory non-compliance is identified.
3.5 Confidentiality and Data Protection: The Special Education Teacher shall handle all student records, IEPs, and personal data in strict accordance with Ivorian data protection regulations and AESC's internal confidentiality policy. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order and may result in legal action.
3.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause (including but not limited to gross misconduct, failure to meet performance standards, or loss of professional licensure), AESC may terminate immediately without notice. Upon termination, the vendor shall be compensated only for services rendered up to the effective date of termination.
3.7 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Ivorian Chamber of Commerce in Ivory Coast Abidjan. The governing law shall be the laws of the Republic of Côte d'Ivoire.
NOTE: This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to confirm acceptance by 29 June 2025 shall render this Purchase Order null and void. The Special Education Teacher must present a valid criminal background check (certificat de casier judiciaire) and a medical fitness certificate issued by a licensed physician in Ivory Coast Abidjan prior to commencing duties.By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Special Education Teacher at the AESC facility in Ivory Coast Abidjan.
