2.1. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan, including but not limited to the Civil Code of the Republic of Kazakhstan, the Law on Education of the Republic of Kazakhstan, and the municipal regulations of the City of Almaty pertaining to public procurement and educational service delivery.
2.2. The Special Education Teacher engaged under this Purchase Order must hold a valid pedagogical certificate recognized by the Ministry of Education and Science of the Republic of Kazakhstan. The teacher must demonstrate documented experience in working with students who have intellectual disabilities, autism spectrum disorders, hearing impairments, visual impairments, or multiple disabilities. All qualifications shall be verified prior to the commencement of services in Kazakhstan Almaty.
2.3. The vendor, EduPro Kazakhstan HR Solutions LLP, shall ensure that the Special Education Teacher complies with all local labor laws, tax obligations, and social security contributions as mandated by the Republic of Kazakhstan. The vendor is responsible for obtaining all necessary work permits, residency registrations, and professional licenses required for the Special Education Teacher to legally practice in Kazakhstan Almaty.
2.4. Payment terms: The total amount specified in this Purchase Order shall be paid in monthly installments within fifteen (15) business days following the receipt of a valid invoice from the vendor. Payment shall be made via bank transfer to the vendor's designated account in tenge (KZT) at a commercial bank operating in Kazakhstan Almaty.
2.5. The Special Education Teacher shall be subject to a probationary period of three (3) months from the date of initial placement. During this period, ASESC reserves the right to terminate this Purchase Order with thirty (30) days written notice if the teacher's performance does not meet the established professional standards for special education in Kazakhstan Almaty.
2.6. All intellectual property, lesson plans, IEP documents, and student assessment records created by the Special Education Teacher during the term of this Purchase Order shall remain the exclusive property of ASESC. The teacher shall maintain strict confidentiality regarding all student data in compliance with the Law of the Republic of Kazakhstan on Personal Data and Its Protection.
2.7. Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Kazakhstan Almaty, shall suspend the obligations under this Purchase Order for the duration of the event. Neither party shall be liable for delays caused by such events.
3. DELIVERY AND COMMENCEMENTThe Special Education Teacher shall report for duty no later than 01 September 2025, coinciding with the start of the academic year at the ASESC facility in Kazakhstan Almaty. The vendor shall provide a detailed onboarding schedule, including orientation to the school's inclusive education policies, introduction to the student caseload, and coordination with existing teaching staff and support specialists.

NOTE: This Purchase Order (PO-2025-ASESC-0047) is valid for a period of one (1) academic year, from 01 September 2025 to 31 August 2026. Any amendments to the scope of services for the Special Education Teacher or changes to the operational location within Kazakhstan Almaty must be documented in a written addendum signed by both parties. This document is issued in two (2) original copies, one for each party.
