Payment for this Purchase Order shall be made in Korean Won (KRW) via bank transfer to the Vendor's designated account at Woori Bank, Seoul Branch (Account No. 1002-3456-7890-12). Invoices shall be submitted on the last business day of each month for services rendered in the preceding month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. A Value Added Tax (VAT) of 10% shall be applied to all line items as required by the National Tax Service of South Korea. The total contract value, inclusive of VAT, is KRW 81,140,000 (Eighty-One Million One Hundred Forty Thousand Korean Won).
3.1 This Purchase Order is subject to the Government Procurement Act of South Korea and the Seoul Metropolitan Government's internal procurement regulations. All services must be performed within the jurisdiction of Seoul, South Korea, and in full compliance with the Special Education Act (Act No. 16250) of the Republic of Korea.
3.2 The Vendor warrants that the Special Education Teacher placed under this Purchase Order shall hold a current and valid Special Education Teaching License issued by the Ministry of Education of South Korea and shall maintain all required certifications throughout the contract period.
3.3 The Special Education Teacher shall be subject to a background check conducted by the Seoul Metropolitan Police Agency and the National Human Rights Commission of Korea prior to commencing duties. Any adverse finding shall result in immediate termination of this Purchase Order without penalty to the Purchasing Authority.
3.4 The Vendor shall provide a replacement Special Education Teacher within fifteen (15) business days should the originally placed teacher resign, be terminated, or become unable to perform duties for any reason. The replacement must meet or exceed the qualifications specified in Line Item 01.
3.5 All intellectual property, lesson plans, student assessment records, and curriculum materials developed by the Special Education Teacher during the term of this Purchase Order shall remain the property of the Seoul Metropolitan Special Education Services Authority.
3.6 The Vendor shall maintain professional liability insurance with a minimum coverage of KRW 500,000,000 for the duration of this Purchase Order, naming the Purchasing Authority as an additional insured party.
3.7 Disputes arising from this Purchase Order shall be resolved through mediation by the Seoul Arbitration Center. If mediation fails, the matter shall be submitted to the Seoul Central District Court in Seoul, South Korea, and governed exclusively by the laws of the Republic of Korea.
