5.1 Commencement and Duration: The services under this Purchase Order shall commence on 1 September 2025 and shall continue for a period of twelve (12) months, concluding on 31 August 2026, unless terminated earlier in accordance with the provisions herein. All Special Education Teacher placements must be finalized and confirmed in writing no later than 25 August 2025.
5.2 Payment Terms: Payment shall be made in monthly instalments via direct bank transfer (SEPA) to the supplier's designated account. Invoices are due within thirty (30) calendar days of receipt. Late payments shall accrue interest at the rate established by the Spanish Law 3/2004 on Measures to Combat Late Payment in Commercial Transactions.
5.3 Qualification Requirements: Each Special Education Teacher assigned under this Purchase Order must hold a recognized Master's qualification in Special Education, a valid teaching habilitation issued by the Spanish Ministry of Education, and a clean criminal record certificate (certificado de antecedentes penales) as required for working with minors in Spain Valencia. 5.6 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the supplier shall ensure a smooth transition of all Special Education Teacher responsibilities to the Buyer's in-house staff or a replacement provider.
5.7 Data Protection: All personal data of students, parents, and staff processed under this Purchase Order shall be handled in strict compliance with the EU General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection and Guarantee of Digital Rights (LOPDGDD). The supplier shall act as a data processor and shall not transfer data outside the European Economic Area without prior written consent.
5.8 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain Valencia.
5.9 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated school closures, or acts of war, provided that the affected party notifies the other in writing within five (5) business days.
6.
