Terms and Conditions1. Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order relating to the provision of a Special Education Teacher in United Kingdom London shall be subject to the exclusive jurisdiction of the courts of England and Wales.
2. Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice from the supplier. Invoices shall be submitted monthly in arrears. The total Purchase Order value of £81,000.00 shall be disbursed in twelve equal monthly instalments of £6,750.00 (inclusive of VAT), commencing on 1st September 2025.
3. Service Delivery: The Special Education Teacher shall be present at the client's designated premises in United Kingdom London (Zone 2, postcodes N1, N1C, N1R, N1X, N1Y, N1Z, N2, N21, N22) for a minimum of 37.5 hours per week during the academic term. The Special Education Teacher shall adhere to the client's safeguarding policies, data protection protocols (UK GDPR), and health and safety regulations.
4. Qualifications and Compliance: The Special Education Teacher nominated by the supplier must hold Qualified Teacher Status (QTS), a valid Enhanced DBS check (updated via the DBS Update Service), a current paediatric first-aid certificate, and evidence of ongoing CPD. The supplier warrants that the Special Education Teacher meets all statutory requirements for employment in educational settings within the United Kingdom.
5. Termination: Either party may terminate this Purchase Order with 8 weeks' written notice. In the event of termination, the client shall pay for all services rendered up to the date of termination. The supplier shall ensure a minimum 4-week transition period for the Special Education Teacher's replacement to maintain continuity of care for pupils in United Kingdom London.
6. Insurance: The supplier shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided prior to the commencement of services.
7. Data Protection: All personal data, including sensitive data relating to pupils' special educational needs, shall be processed in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Special Education Teacher shall sign a data processing agreement prior to accessing any pupil records.
8. Performance Standards: The supplier shall provide quarterly performance reports detailing the Special Education Teacher's interventions, pupil progress metrics, and compliance with EHCP outcomes. Failure to meet agreed performance standards for two consecutive quarters shall constitute a material breach of this Purchase Order.
