This Purchase Order is issued by Centro de Rehabilitación y Desarrollo Integral "Vida Plena" to formally engage the services of a qualified Speech Therapist to provide comprehensive speech-language pathology services to patients and clients of the institution located in Argentina, Buenos Aires. - Service Period: The Speech Therapist shall render all services described in this Purchase Order from July 1, 2025, through December 31, 2025, at the designated clinic premises in Buenos Aires, Argentina, and via approved telehealth platforms for remote sessions.
- Payment Schedule: Payment shall be made in two equal installments: 50% upon execution of this Purchase Order and 50% upon completion of the service period, subject to satisfactory delivery of all line items. Payment shall be processed via bank transfer to the account specified by the Speech Therapist, in accordance with Argentine banking regulations.
- Professional Compliance: The Speech Therapist warrants that they hold a valid professional license (Matrícula) issued by the Colegio de Logopedas de Buenos Aires and shall maintain all required certifications, insurance coverage (Seguro de Responsabilidad Civil Profesional), and compliance with the data protection law (Ley 25.326 de Protección de Datos Personales) throughout the engagement.
- Confidentiality: All patient information, clinical records, and institutional data accessed by the Speech Therapist in the course of providing services in Buenos Aires, Argentina, shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization, in compliance with Argentine medical ethics codes.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, payment shall be prorated based on services actually rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the Civil and Commercial Code of the Nation (Código Civil y Comercial de la Nación) and applicable health regulations of the City of Buenos Aires.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Buenos Aires, Argentina, before resorting to the competent civil courts of the City of Buenos Aires.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to public health emergencies, natural disasters, or government-mandated closures affecting operations in Buenos Aires, Argentina.
- Intellectual Property: All treatment plans, assessment reports, and clinical documentation produced by the Speech Therapist under this Purchase Order shall remain the property of Centro de Rehabilitación y Desarrollo Integral "Vida Plena" and shall be stored in the institution's records system in Buenos Aires.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not constitute valid amendments to the terms herein.
