- Scope of Work: The Speech Therapist shall provide all services outlined in this Purchase Order in accordance with the clinical standards established by the Bangladesh Speech-Language Pathology Board and the World Federation of Speech-Language Pathology (WorldFSLP). All therapeutic interventions must be culturally appropriate for the diverse population served in Bangladesh Dhaka.
- Service Location: All services shall be rendered at the Foundation's designated facilities in Bangladesh Dhaka (Banani and Mirpur centers) unless otherwise agreed in writing. The Speech Therapist may also conduct home visits within the Dhaka metropolitan area at no additional cost, subject to prior scheduling approval.
- Payment Terms: Payment shall be made in monthly installments within 30 days of receipt of a valid invoice and the corresponding monthly progress report. The total Purchase Order value of BDT 5,740,000 (Five Million Seven Hundred Forty Thousand Taka) shall be disbursed over the 12-month contract period. No advance payment shall be made.
- Qualifications: The Speech Therapist must hold a Master's degree in Speech-Language Pathology or an equivalent qualification recognized in Bangladesh, a valid practicing license from the relevant regulatory authority, and a minimum of five (5) years of clinical experience. Proof of qualifications shall be submitted prior to the commencement of services.
- Confidentiality: The Speech Therapist shall maintain strict confidentiality of all patient records and clinical data in compliance with the Digital Security Act of Bangladesh and applicable data protection regulations. All records shall be stored securely at the Foundation's facility in Bangladesh Dhaka.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Foundation shall pay for all services rendered up to the date of termination. The Speech Therapist shall ensure a smooth transition of patient care to a successor professional if required.
- Performance Standards: The Speech Therapist shall attend a minimum of 95% of scheduled sessions. Failure to meet this threshold without valid medical or documented justification may result in a 5% deduction from the monthly payment. The Foundation reserves the right to conduct quarterly performance reviews.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be referred to arbitration under the Arbitration Act of Bangladesh, with the seat of arbitration in Dhaka, Bangladesh.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. All services shall be delivered within the jurisdiction of Bangladesh Dhaka.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Speech Therapist in Bangladesh Dhaka. This document constitutes a binding agreement effective from the date of the last signature.
