Note: All Speech Therapist services referenced in this Purchase Order shall be delivered by a licensed and registered Speech Therapist in good standing with the Ontario College of Speech-Language Pathologists and Audiologists (OCSLPA). The Speech Therapist must maintain valid professional liability insurance with a minimum coverage of $5,000,000. All services are to be performed at the designated Canada Toronto facility or at approved client residences within the City of Toronto boundaries.
  1. This Purchase Order constitutes a binding agreement between Northlake Community Health & Rehabilitation Centre (hereinafter "the Purchaser") and ClearVoice Speech & Language Therapy Inc. (hereinafter "the Vendor") for the provision of Speech Therapist services as outlined above.
  2. The Speech Therapist assigned to this contract must hold a valid CCC-SLP certification and an active OCSLPA license. The Vendor shall provide proof of licensure and insurance prior to the commencement of services in Canada Toronto.
  3. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-04871) and include the Vendor's Business Number for tax compliance under Canadian federal and Ontario provincial regulations.
  4. The Vendor agrees to maintain all client records in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Health Information Protection Act (HIPA) of Ontario. All Speech Therapist documentation shall be stored securely at the Canada Toronto facility or on approved encrypted servers.
  5. Services may be cancelled or rescheduled with a minimum of forty-eight (48) hours' written notice. Cancellations made within forty-eight hours will be billed at fifty percent (50%) of the session fee.
  6. The Purchaser reserves the right to audit the Speech Therapist's service delivery records, client progress files, and billing documentation at any reasonable time during the contract period.
  7. This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this agreement shall be resolved through mediation in the City of Toronto before proceeding to litigation in the Ontario Superior Court of Justice.
  8. The Vendor shall not subcontract any Speech Therapist services without prior written consent from the Purchaser. Any substitute Speech Therapist must meet the same licensing and certification requirements specified herein.
  9. This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless terminated earlier by either party with thirty (30) days' written notice.
