All services specified in this Purchase Order shall be performed exclusively within the administrative boundaries of China Guangzhou, Guangdong Province, People's Republic of China. The primary service delivery location shall be the Guangzhou Lingnan Rehabilitation & Development Center at 88 Tianhe Road, Tianhe District. The Speech Therapist may also conduct mobile sessions at partner schools, community health centers, and residential facilities across the China Guangzhou urban and suburban districts as directed by the issuing entity. The Speech Therapist is required to maintain a minimum on-site presence of five (5) working days per week at the China Guangzhou facility unless otherwise agreed in writing.
4. TERMS AND CONDITIONS4.1 Payment Terms: Payment for services rendered under this Purchase Order shall be made in monthly installments via bank transfer to the account designated by the Speech Therapist provider. Invoices are due within thirty (30) calendar days of receipt. All payments shall be denominated in Chinese Yuan (CNY) and processed through a licensed financial institution operating in China Guangzhou.
4.2 Service Period: This Purchase Order covers a service period commencing on July 1, 2025, and concluding on June 30, 2026. The Speech Therapist shall provide continuous coverage throughout this period in China Guangzhou, subject to the scheduling outlined in Section 2.
4.3 Qualifications and Compliance: The Speech Therapist engaged under this Purchase Order must hold a valid national license for speech-language pathology practice in the People's Republic of China, a minimum of five (5) years of post-qualification clinical experience, and fluency in Mandarin Chinese. All practice must comply with the regulations set forth by the National Health Commission of China and the local health bureau of China Guangzhou.
4.4 Confidentiality: The Speech Therapist shall maintain strict confidentiality of all client records, assessment data, and treatment plans in accordance with the Personal Information Protection Law of the People's Republic of China. No client information pertaining to services delivered in China Guangzhou shall be disclosed to third parties without written consent.
4.5 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Speech Therapist shall complete all in-progress treatment plans for clients in China Guangzhou and deliver a comprehensive handover report within fourteen (14) days of the termination effective date.
4.6 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation in good faith. If unresolved, matters shall be submitted to the Guangzhou Arbitration Commission in China Guangzhou for binding arbitration under the rules of the China Arbitration Association.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to regulations applicable to healthcare service procurement in China Guangzhou.
5. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of a Speech Therapist in China Guangzhou. This document constitutes a binding agreement between the issuing entity and the service provider for the duration stated herein.
