- Scope of Engagement: This Purchase Order authorizes the Supplier to provide qualified Speech Therapist services as itemized above. All Speech Therapist personnel assigned to this contract must hold valid credentials recognized by the China Shanghai Municipal Health Commission and the Chinese Speech-Language-Hearing Association (CSLHA).
- Delivery and Performance Location: All services under this Purchase Order shall be rendered at the Buyer's designated facilities located in China Shanghai, unless otherwise specified in writing. The Supplier acknowledges that all clinical operations must comply with the regulations of the China Shanghai Administration of Health and the National Health Commission of the People's Republic of China.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. The total Purchase Order value of CNY 442,000.00 shall be disbursed in four equal quarterly installments of CNY 110,500.00, subject to satisfactory performance review of the Speech Therapist team each quarter.
- Quality Assurance: The Supplier guarantees that every Speech Therapist engaged under this Purchase Order will conduct a minimum of two (2) supervised sessions per month, with written progress reports submitted to the Buyer's clinical director. Failure to meet the quality benchmarks set forth in Annex A of this Purchase Order shall entitle the Buyer to withhold the corresponding installment.
- Confidentiality and Data Protection: All patient records, clinical notes, and personal health information handled by the Speech Therapist team in China Shanghai shall be protected in accordance with the Personal Information Protection Law (PIPL) of the People's Republic of China and the China Shanghai local data governance regulations. The Supplier shall execute a separate Data Processing Agreement prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all Speech Therapist services rendered up to the effective date of termination, less any applicable penalties for non-performance.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Shanghai International Arbitration Center (SHIAC) in China Shanghai, in the English language.
- Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or public health emergencies.
