5.1 This Purchase Order is governed by the laws of the French Republic. Any disputes arising from the execution of this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France Marseille.
5.2 The Speech Therapist(s) engaged under this Purchase Order shall maintain professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €5,000,000 per claim, valid throughout the France Marseille operational area.
5.3 The supplier shall ensure that the Speech Therapist complies with all data protection obligations under the French implementation of the GDPR (Loi Informatique et Libertés) and the specific provisions of the Code de la Santé Publique regarding patient confidentiality and medical records.
5.4 The Speech Therapist shall submit monthly activity reports detailing the number of sessions conducted, patient progress notes, and any referrals made to other specialists within the France Marseille healthcare network.
5.5 The purchasing entity reserves the right to audit the Speech Therapist's clinical records and service delivery logs at any reasonable time with 48 hours' prior written notice.
5.6 Termination may be effected by either party with a written notice period of sixty (60) days. In the event of termination, the Speech Therapist shall ensure a smooth transition of all active patient cases to a successor logopedic practitioner approved by the Centre de Santé Provence Méditerranée in France Marseille.
5.7 All invoices issued under this Purchase Order must reference the Purchase Order number FR-MRS-2025-04782 and be submitted to the accounts payable department of the purchasing entity no later than the 5th business day of the following month.
6. Acceptance and Authorization Note: This Purchase Order constitutes a binding commitment upon signature by both parties.
