1. Scope of Services: This Purchase Order authorises the engagement of a qualified Speech Therapist, Dr. Anna Kessler, to deliver comprehensive speech and language therapy services at the Munich Health & Rehabilitation Center GmbH facility located in Germany Munich. The Speech Therapist shall hold a valid professional licence issued by the Bayerische Landeszahnärztekammer and the relevant German health authority (Gesundheitsamt München).
2. Service Delivery Location: All services under this Purchase Order shall be performed on-site at the buyer's premises in Germany Munich, unless otherwise agreed in writing. The Speech Therapist is expected to be present at the facility during the agreed service hours and to maintain a professional, patient-centred environment consistent with German healthcare standards (S3-Leitlinien).
3. Qualification Requirements: The Speech Therapist must demonstrate a minimum of five (5) years of post-graduate clinical experience in logopaedics (Logopädie) and must be registered with the relevant professional body in Germany Munich. All qualifications, certificates, and professional liability insurance documentation must be submitted prior to the commencement of services.
4. Payment Terms: Invoices shall be submitted monthly by the 5th business day of the following month. Payment shall be made via bank transfer (SEPA) within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur interest at the statutory rate under German commercial law (BGB § 288).
5. Cancellation and Termination: Either party may terminate this Purchase Order with a written notice period of thirty (30) days. In the event of early termination, the buyer shall be liable for all services rendered up to the termination date. The Speech Therapist shall provide a minimum of two (2) weeks' notice for any scheduled absence.
6. Data Protection and Confidentiality: The Speech Therapist shall comply fully with the General Data Protection Regulation (GDPR / DSGVO) and the German Federal Data Protection Act (BDSG). All patient records, assessment reports, and therapeutic documentation generated in Germany Munich shall be stored in accordance with German medical data protection regulations and shall not be disclosed to third parties without explicit patient consent.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
8. Insurance: The Speech Therapist shall maintain professional indemnity insurance with a minimum coverage of €1,000,000 per claim, valid throughout the service period in Germany Munich. Proof of insurance shall be provided upon request.
