• Invoice Requirements: The supplier shall submit a detailed invoice to the Purchasing Party no later than five (5) business days prior to each payment due date. Each invoice must reference this Purchase Order number (GHA-ACC-2025-04782) and itemize services rendered during the billing period.
• Late Payment Penalty: In the event of late payment beyond the stipulated 30-day window, a penalty of 2% per month shall be applied to the outstanding balance, in accordance with Ghanaian commercial law.
• Currency: All amounts stated in this Purchase Order are denominated in Ghana Cedis (GHS) and shall be subject to prevailing tax obligations under the Ghana Revenue Authority.

The Speech Therapist engaged under this Purchase Order shall adhere to the following professional and regulatory standards:

• Comply with all data protection and patient confidentiality requirements as stipulated under the Data Protection Act, 2012 (Act 843) of Ghana.
• Deliver all Speech Therapist services in a culturally sensitive manner appropriate to the diverse linguistic and ethnic communities of Ghana Accra, including Twi, Ga, Ewe, and English-speaking populations.
• Submit to periodic performance reviews by the Purchasing Party, conducted on a quarterly basis, to ensure the quality and efficacy of the Speech Therapist's clinical interventions.
• Maintain adequate professional indemnity insurance coverage of not less than GHS 500,000.00 for the duration of the engagement.

This Purchase Order shall be effective from 1 July 2025 and shall remain in force for a period of twelve (12) months, expiring on 30 June 2026, unless renewed by mutual written agreement of both parties. Either party may terminate this Purchase Order with a written notice of sixty (60) days. Upon termination, the Speech Therapist shall complete all ongoing patient sessions and deliver a comprehensive handover report to the Purchasing Party within fourteen (14) days of the termination date.

This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from or in connection with this Purchase Order, including the provision of Speech Therapist services in Ghana Accra, shall first be subject to good-faith negotiation between the parties. Should negotiation fail to resolve the dispute within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act, 2099 (Act 298) of Ghana, with the seat of arbitration in Accra, Ghana.
