This Purchase Order is issued by NeuroCare Rehabilitation Centre Pvt. Ltd., Mumbai, to engage the services of a qualified Speech Therapist for the provision of comprehensive speech-language pathology services to patients and clients of the centre located in India Mumbai. The Speech Therapist shall deliver all services in accordance with the clinical protocols, ethical standards, and regulatory requirements set forth by the Rehabilitation Council of India (RCI) and the Maharashtra State Health Department. The engagement under this Purchase Order covers the period from 1 July 2025 through 30 June 2026, subject to renewal by mutual written consent.

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Speech Therapist within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Qualifications: The Speech Therapist must hold a valid Master's degree in Speech-Language Pathology (M.S. SLP) or equivalent, a current registration with the Rehabilitation Council of India, and a valid medical practitioner licence issued by the Maharashtra State Government. All credentials must be submitted to the Buyer's compliance department prior to the commencement of services in India Mumbai.
- Performance Standards: The Speech Therapist shall adhere to the clinical guidelines published by the American Speech-Language-Hearing Association (ASHA) as adopted by the Indian Speech-Language-Hearing Association (ISLHA). All patient records, assessment reports, and therapy progress notes must be maintained in the NeuroCare electronic health record system and shall remain the property of the Buyer.
- Payment Schedule: Payment for services rendered under this Purchase Order shall be made on a monthly basis. The Speech Therapist shall submit an itemised invoice by the 5th of each month for the preceding month's services. Payment shall be processed via NEFT/RTGS to the bank account specified by the Speech Therapist within thirty (30) days of invoice receipt. Late payments shall attract interest at 12% per annum as per the Indian Contract Act, 1872.
- Confidentiality & Data Protection: The Speech Therapist shall comply with all provisions of the Digital Personal Data Protection Act, 2023 (India) and the institutional confidentiality policies of NeuroCare Rehabilitation Centre. Patient information obtained during the course of Speech Therapist services in India Mumbai shall not be disclosed to any third party without written consent of the patient or a valid court order.
- Insurance: The Speech Therapist shall maintain a valid professional indemnity insurance policy with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) for the entire duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer at the time of contract execution and upon each annual renewal.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. The Buyer may terminate immediately in the event of gross professional misconduct, loss of RCI registration, or breach of the confidentiality clause. Upon termination, all outstanding invoices for services already rendered shall be settled within 30 days.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India. Mediation under the Mediation Act, 2021 shall be attempted before initiating litigation.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated lockdowns in India Mumbai, or acts of war, provided that the affected party notifies the other in writing within 48 hours.
- Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by both parties. Verbal agreements regarding the scope of Speech Therapist services shall not be enforceable.
All in-person Speech Therapist services under this Purchase Order shall be delivered at the NeuroCare Rehabilitation Centre facility located at Bandra-Kurla Complex, Mumbai – 400051, Maharashtra, India, or at such other location in India Mumbai as mutually agreed in writing. Telehealth sessions shall be conducted via the Buyer's approved secure video-conferencing platform. The Speech Therapist is expected to be available on-site at the India Mumbai facility from Monday to Saturday, 09:00 AM to 06:00 PM, with a minimum of five (5) working days per week.
