5. Terms and Conditions

Service Commencement: The Speech Therapist shall commence all services no later than July 1, 2025, at the designated Japan Kyoto facility located in Higashiyama-ku. A site orientation and onboarding meeting shall be conducted on June 25, 2025.
Professional Standards: The Speech Therapist agrees to maintain all professional certifications, licenses, and continuing education requirements as mandated by the Japan Speech-Language-Hearing Association throughout the duration of this Purchase Order.
Confidentiality: All patient records, clinical data, and proprietary treatment methodologies shall be treated with strict confidentiality in compliance with Japan's Personal Information Protection Act (APPI) and the Japan Kyoto municipal healthcare data regulations.
Scheduling and Availability: The Speech Therapist shall be available for a minimum of 35 clinical hours per week at the Japan Kyoto center. Any unscheduled absences must be communicated at least 48 hours in advance, and a qualified substitute Speech Therapist must be arranged at the provider's expense.

Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Japan Kyoto before proceeding to litigation in the Kyoto District Court.
Amendments: This Purchase Order may only be amended in writing, signed by both parties. Verbal agreements regarding scope, rate, or duration are not binding.

6. Acceptance and Authorization
