The Speech Therapist shall commence services on 1 July 2025 and continue on a rolling monthly basis for a period of twelve (12) months, subject to renewal. All therapy sessions shall be conducted at the Meridian Children's Development Centre premises in Malaysia Kuala Lumpur during the hours of 9:00 AM to 6:00 PM, Monday through Saturday. The Speech Therapist is required to maintain a minimum of 20 individual therapy sessions per week and 4 group sessions per week. Any rescheduling must be communicated to the Buyer at least 48 hours in advance.
6. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Buyer and the Speech Therapist upon signature by both parties. All terms are governed by the laws of Malaysia, specifically the Contracts Act 1950 and applicable regulations of the Ministry of Health Malaysia.
- The Speech Therapist must hold a valid registration with the Malaysian Association of Speech-Language Pathologists (MASLP) and maintain professional indemnity insurance with a minimum coverage of RM 1,000,000 throughout the duration of this engagement in Malaysia Kuala Lumpur.
- Payment shall be made within thirty (30) days from the date of invoice submission. Invoices must be submitted monthly by the 5th of the following month. Late payments shall attract interest at the rate of 5% per annum as stipulated under the Late Payment of Outstanding Debts Act 2018.
- The Speech Therapist shall comply with all data protection requirements under the Personal Data Protection Act 2010 (PDPA) of Malaysia. All client records, assessment reports, and therapy documentation shall be stored securely and shall not be disclosed to any third party without written consent from the child's parent or legal guardian.
- The Buyer reserves the right to audit the Speech Therapist's service delivery, clinical documentation, and progress reports at any reasonable time with 72 hours' prior written notice.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Speech Therapist shall complete all ongoing therapy sessions for enrolled children and submit final progress reports within fourteen (14) days of the termination date.
- All therapeutic materials and equipment procured under Item 6 of this Purchase Order shall become the property of the Buyer upon delivery to the premises in Malaysia Kuala Lumpur.
- The Speech Therapist shall adhere to the clinical protocols and ethical guidelines established by the Malaysian Association of Speech-Language Pathologists and the Ministry of Health Malaysia. Any deviation from approved therapy methodologies must be pre-approved in writing by the Buyer's Clinical Director.
- Disputes arising from this Purchase Order shall be resolved through mediation in Malaysia Kuala Lumpur before resorting to litigation in the competent courts of Malaysia.
- This Purchase Order is valid for acceptance within thirty (30) days from the date of issue. Failure to sign and return by the expiry date shall render this Purchase Order null and void.
