This Purchase Order is issued by Instituto de Rehabilitación y Desarrollo Infantil, S.A. de C.V. (hereinafter referred to as the "Buyer") to Clínica de Fonoaudiología Avanzada, S.A. de C.V. (hereinafter referred to as the "Service Provider") for the provision of specialized Speech Therapist services to be delivered at the Buyer's facility located in Mexico, Mexico City. The engagement of a qualified Speech Therapist is required to address the growing demand for pediatric and adult speech-language pathology services within the metropolitan area of Mexico, Mexico City, where approximately 12% of the population has been identified as requiring some form of speech or language intervention.

The Speech Therapist engaged under this Purchase Order shall hold a valid license issued by the Secretaría de Salud of the State of Mexico and must possess a minimum of five (5) years of clinical experience in speech-language pathology. All services shall be rendered in accordance with the professional standards established by the Colegio de Fonoaudiólogos de México and applicable regulations governing healthcare service delivery in Mexico, Mexico City.

All Speech Therapist services under this Purchase Order shall be performed at the Buyer's primary clinical facility situated at Av. Insurgentes Sur 1240, Col. Del Valle, Benito Juárez, in the municipality of Mexico, Mexico City. The Service Provider's Speech Therapist shall report to the facility no later than 30 minutes prior to the scheduled session time. For community outreach workshops (Item 04), the Speech Therapist shall travel to designated public health centers within the 16 boroughs (alcaldías) of Mexico, Mexico City as coordinated by the Buyer's operations team. Travel time and transportation within the Mexico, Mexico City metropolitan area are included in the unit prices stated above and shall not constitute an additional charge.

1. Payment Schedule: Payment for this Purchase Order shall be made in monthly installments, due within fifteen (15) calendar days of receipt of a valid invoice from the Service Provider. The first payment shall be due on July 15, 2025, and subsequent payments shall follow on the 15th of each month thereafter.
2. Currency and Method: All payments under this Purchase Order shall be made in Mexican Pesos (MXN) via electronic bank transfer (SPEI) to the account designated by the Service Provider. No cash payments shall be accepted.
3. Tax Compliance: The Service Provider shall issue a CFDI (Comprobante Fiscal Digital por Internet) for each invoice in compliance with the regulations of the Servicio de Administración Tributaria (SAT) of Mexico. The applicable IVA (Value Added Tax) of 16% is included in the unit prices listed in Section 2.
4. Late Payment: In the event of late payment, interest shall accrue at the rate established by the Banco de México (Banxico) for the applicable period, in accordance with Mexican commercial law.
5. Disputes: Any billing discrepancies must be reported in writing within ten (10) business days of invoice receipt. The Purchase Order shall remain in effect pending resolution of any good-faith dispute.

The Speech Therapist engaged under this Purchase Order shall adhere to all applicable federal and state health regulations in force in Mexico, Mexico City, including but not limited to the Ley General de Salud, the NOM-025-SSA2-2014 standard for clinical practice, and the data protection provisions of the Ley Federal de Protección de Datos Personales en Posesión de los Particulares. Patient records and clinical documentation generated by the Speech Therapist shall be maintained in a secure, HIPAA-equivalent manner and shall remain the property of the Buyer. The Service Provider warrants that the Speech Therapist assigned to this Purchase Order carries professional liability insurance with a minimum coverage of MXN $5,000,000, valid throughout the territory of Mexico, Mexico City and the Federal District.

This Purchase Order shall remain in full force and effect for a period of twelve (12) months from the date of issue, unless terminated earlier by mutual written agreement. Either party may terminate this Purchase Order with thirty (30) days' prior written notice. Upon termination, the Service Provider shall complete all sessions already scheduled and deliver final clinical reports for all active patients. The Buyer reserves the right to request a replacement Speech Therapist of equivalent or superior qualifications should the originally assigned professional become unavailable, without any modification to the pricing terms of this Purchase Order.

This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the United Mexican States, with specific reference to the regulations applicable in the jurisdiction of Mexico, Mexico City. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the civil courts of Mexico, Mexico City, and the parties hereby waive any right to litigate in any other forum.
