1. Service Period: The Speech Therapist engagement under this Purchase Order shall commence on 1 July 2025 and conclude on 31 December 2025, unless extended by mutual written agreement between both parties.
2. Service Location: All clinical services, assessments, workshops, and supervisory activities shall be conducted at the Atlas Health & Rehabilitation Center premises in Morocco Casablanca, specifically at 124 Boulevard Mohammed V, Maârif District. The Speech Therapist is expected to be physically present on-site for a minimum of 25 hours per week.
3. Payment Terms: Payment shall be made in two equal installments of 96,000.00 MAD (ninety-six thousand Moroccan Dirhams) each, due within 30 days of the end of each six-month service period. Payment shall be processed via bank transfer to the IBAN specified above. Late payments shall incur a penalty of 1.5% per month as per Moroccan commercial law.
4. Professional Standards: The Speech Therapist must hold a valid license issued by the Moroccan Ministry of Health and maintain professional liability insurance with a minimum coverage of 500,000 MAD. All therapy must comply with the ethical code of the Moroccan Association of Speech-Language Pathologists.
5. Confidentiality: The Speech Therapist shall adhere strictly to patient confidentiality as mandated by Moroccan Law No. 09-08 on personal data protection. All patient records, assessment reports, and therapy notes remain the property of Atlas Health & Rehabilitation Center.
6. Deliverables: The Speech Therapist shall submit written progress reports by the 5th business day of each month. 8. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Kingdom of Morocco. Any disputes shall be resolved through the competent courts of Casablanca, Morocco.
9. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Casablanca region.
