3. All clinical sessions, assessments, and therapeutic interventions must take place at the Buyer's premises in Nepal Kathmandu unless prior written consent is obtained for off-site tele-therapy sessions. The Supplier shall ensure that the Speech Therapist maintains strict patient confidentiality in compliance with Nepal's Privacy Act, 2074 (2017).
4. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. The Supplier must submit itemized invoices referencing this Purchase Order number (NK-2025-04782) and the specific line items for which payment is requested.
5. The Supplier warrants that the Speech Therapist and all supporting staff will be available on all scheduled working days (Monday through Saturday, 9:00 AM to 5:00 PM Nepal Standard Time) at the Nepal Kathmandu facility. Unplanned absences exceeding three (3) consecutive days must be reported to the Buyer within 24 hours, and a qualified substitute Speech Therapist must be arranged at no additional cost.
6. Any modification, extension, or cancellation of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements regarding the scope of Speech Therapist services in Nepal Kathmandu shall not be enforceable.
7. The Supplier is responsible for all professional indemnity insurance covering the Speech Therapist and associated staff for the duration of this Purchase Order. A copy of the insurance certificate must be submitted to the Buyer prior to the commencement of services in Nepal Kathmandu.
8. Disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act, 2055 (1999) of Nepal, with proceedings conducted in Kathmandu, Nepal.
9. The Supplier acknowledges that this Purchase Order is subject to the Buyer's internal procurement policies and applicable government regulations in Nepal. The Buyer reserves the right to audit service delivery records, patient files, and financial documentation related to the Speech Therapist engagement at the Nepal Kathmandu site with reasonable notice.
10. This Purchase Order shall remain in full force and effect for the twelve-month service period. Upon expiry, either party may initiate a renewal process for continued Speech Therapist services in Nepal Kathmandu by submitting a written notice at least sixty (60) days before the termination date.
