The Speech Therapist engaged under this Purchase Order must satisfy the following mandatory criteria to ensure the highest standard of clinical care delivered in Saudi Arabia Riyadh:

• A minimum of a Master's degree in Speech-Language Pathology or a closely related clinical discipline from an accredited institution recognized by the Saudi Commission for Health Specialties (SCFHS).
• Valid professional license and registration with the Saudi Ministry of Health, current and in good standing as of the date of this Purchase Order.
• A minimum of five (5) years of post-qualification clinical experience in speech and language therapy, with at least two (2) years of experience practicing in the Kingdom of Saudi Arabia, preferably within the Riyadh region.
• Demonstrated proficiency in both Arabic and English, as the Speech Therapist will be required to conduct therapy sessions, document clinical notes, and communicate with families in both languages within the Saudi Arabia Riyadh healthcare environment.
• Completion of at least two (2) continuing professional development (CPD) courses in the preceding twelve months, relevant to pediatric or adult speech therapy.

• Payment Terms: Payment for services rendered under this Purchase Order shall be made on a monthly basis, within thirty (30) calendar days of receipt of a valid invoice from the Supplier. All payments shall be processed in Saudi Riyals (SAR) via bank transfer to the account designated by Elite Speech & Language Therapy Group.
• Service Location: All clinical services, assessments, and related activities shall be performed exclusively at the Al-Nour Medical & Rehabilitation Center premises located in Saudi Arabia Riyadh, King Fahd Road, Al Olaya District. The Speech Therapist is not authorized to relocate services to any other site without prior written approval from the Buyer.
• Working Hours: The Speech Therapist shall be available on-site from Sunday through Thursday, 8:00 AM to 4:00 PM, in accordance with the standard working week in Saudi Arabia. Saturday and Friday are non-working days unless otherwise agreed in writing.
• Confidentiality: The Speech Therapist shall maintain strict confidentiality of all patient records, clinical data, and proprietary information in full compliance with Saudi Arabian data protection laws and the facility's internal privacy policies. This obligation survives the termination of this Purchase Order for a period of five (5) years.
• Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, all outstanding invoices for services already rendered shall be settled within thirty (30) days.
• Insurance and Liability: The Supplier shall maintain comprehensive professional indemnity insurance with a minimum coverage of SAR 2,000,000 for the duration of this Purchase Order. The Speech Therapist shall be covered under the Supplier's professional liability policy for all clinical activities conducted in Saudi Arabia Riyadh.
• Compliance with Local Regulations: All services delivered under this Purchase Order shall comply with the regulations of the Saudi Ministry of Health, the Saudi Food and Drug Authority (SFDA) where applicable, and all municipal bylaws governing healthcare facilities in Saudi Arabia Riyadh.
• Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA).
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Saudi Arabia Riyadh region.
