1. Purpose and Scope of Purchase OrderThis Purchase Order is issued by the Dakar Regional Health Authority (DRHA) to formally engage the services of a qualified Speech Therapist and associated clinical support staff for the provision of speech-language pathology services within the Senegal Dakar metropolitan area. This Purchase Order governs the procurement of specialized therapeutic interventions targeting children and adults with speech impediments, language disorders, articulation difficulties, and related communication challenges. The Speech Therapist engaged under this Purchase Order shall operate in accordance with the clinical standards established by the Senegalese Ministry of Health and the West African Health Organization (WAHO) guidelines for speech-language pathology practice in Senegal Dakar.

- Delivery and Commencement: The Speech Therapist and all associated personnel shall commence services at the designated DRHA facility in Senegal Dakar no later than 01 August 2025. All equipment and software licenses referenced in this Purchase Order must be delivered and installed prior to the commencement date.
- Payment Terms: Payment shall be made in quarterly installments of 25% each, due within 30 days of the end of each fiscal quarter. The first installment is due upon successful onboarding and verification of the Speech Therapist's credentials by the Senegalese National Order of Health Professionals.
- Qualification Requirements: The primary Speech Therapist must hold a minimum of a Master's degree in Speech-Language Pathology or an equivalent qualification recognized by the Senegalese Ministry of Health. A minimum of five (5) years of clinical experience in a West African or Francophone setting is required. Fluency in French and at least one local language (Wolof, Pulaar, or Serer) is mandatory for effective practice in Senegal Dakar.
- Performance Standards: The Speech Therapist shall conduct a minimum of 25 individual therapy sessions per week and 4 group sessions per week. Monthly progress reports must be submitted to the DRHA Procurement Director. Annual performance reviews will be conducted in accordance with Senegalese public health service regulations.
- Compliance and Licensing: The service provider must maintain all necessary operating licenses issued by the Senegalese Ministry of Health and the relevant professional regulatory body. The Speech Therapist must carry valid professional liability insurance with a minimum coverage of 50,000,000 XOF.
- Confidentiality: All patient records, diagnostic data, and therapeutic progress notes generated by the Speech Therapist in Senegal Dakar shall be treated as strictly confidential in compliance with Senegalese data protection law (Law No. 2008-12) and the DRHA internal data governance policy.
- Termination: Either party may terminate this Purchase Order with a written notice of 60 days. In the event of termination for cause (including but not limited to professional misconduct, failure to meet performance benchmarks, or loss of professional licensure), the terminating party may issue notice with 14 days' effect. Upon termination, the Speech Therapist shall complete all ongoing patient transition plans within 30 days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation under the Senegalese Commercial Arbitration Centre in Dakar. If mediation fails within 60 days, the matter shall be referred to the competent commercial courts of Dakar, Senegal.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, including the Senegalese Public Procurement Code (Code des Marchés Publics) and all applicable health sector regulations.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Purchasing Entity confirms that the Speech Therapist services described herein are required for the public health benefit of residents in Senegal Dakar, and the Service Provider confirms its capacity and willingness to deliver the specified services in full compliance with all applicable Senegalese regulations.
