Ltd. to formally engage the services of a qualified Speech Therapist and associated clinical support staff provided by ClearVoice Speech & Language Therapy Centre. The engagement is specifically scoped for delivery of speech and language therapy services to patients and clients located within the Singapore Singapore administrative region. This Purchase Order governs all commercial terms, service deliverables, payment schedules, and compliance obligations for the duration of the contracted period.

The Speech Therapist engaged under this Purchase Order shall provide comprehensive speech, language, voice, and fluency therapy services. The scope includes but is not limited to the following clinical activities performed within the Singapore Singapore service area:

• Initial and ongoing assessment of speech and language disorders for paediatric and adult clients residing in or receiving care within the Singapore Singapore region.
• Development and implementation of individualised therapy plans for clients with articulation disorders, aphasia, dysphagia, stuttering, and cognitive-communication impairments.
• Delivery of a minimum of 120 supervised therapy sessions per month, conducted at the designated clinic premises in Singapore Singapore or via approved telehealth platforms.
• Preparation and submission of detailed clinical progress reports to the Purchasing Entity on a bi-weekly basis.
• Participation in multidisciplinary case conferences coordinated by Meridian Healthcare Group, held at the Singapore Singapore regional medical centre.
• Provision of caregiver training and home-exercise programme guidance to families of clients in the Singapore Singapore community.
• Maintenance of all client records in compliance with the Personal Data Protection Act (PDPA) of Singapore and the Healthcare Services Act.

This Purchase Order is effective from 1 July 2025 through 30 June 2026, a period of twelve (12) months. All on-site Speech Therapist services shall be delivered at the ClearVoice clinic premises located at 45 River Valley Road, Singapore Singapore 179048, or at the Meridian Healthcare Group regional facility at 128 Orchard Boulevard, Singapore Singapore 248649, as directed by the Purchasing Entity. Telehealth sessions shall be conducted via the approved platform and are deemed to be delivered within the Singapore Singapore jurisdiction for the purposes of this Purchase Order.

• Payment shall be made in quarterly instalments of SGD 101,266.45, due within thirty (30) days of the end of each calendar quarter.
• Payment shall be made via bank transfer to the account designated by ClearVoice Speech & Language Therapy Centre, as stated in the attached banking mandate form.
• Any disputed line items under this Purchase Order shall be resolved within fifteen (15) business days of written notice. Undisputed amounts shall be paid on the original schedule.
• Late payments shall attract interest at the rate of 2% per month, calculated from the due date until the date of actual payment, in accordance with the Late Payment of Interest on Debts Act (Singapore).

• Qualification Requirements: The Speech Therapist assigned under this Purchase Order must hold a Master's degree in Speech-Language Pathology or an equivalent qualification recognised by the Singapore Health Sciences Council (HSC) and must maintain a valid HSC registration throughout the contract period.
• Compliance: All services rendered in the Singapore Singapore region shall comply with the Healthcare Services Act 2020, the Personal Data Protection Act 2012, and all applicable regulations issued by the Ministry of Health, Singapore.
• Confidentiality: The Supplier and the Speech Therapist shall maintain strict confidentiality of all client data. No patient information shall be disclosed to third parties without written consent, except as required by law in the jurisdiction of Singapore Singapore.
• Performance Standards: The Speech Therapist shall achieve a minimum client satisfaction score of 85% as measured by quarterly surveys administered by the Purchasing Entity. Failure to meet this standard for two consecutive quarters shall constitute a material breach of this Purchase Order.
• Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' written notice.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes shall be resolved by arbitration in Singapore Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures in the Singapore Singapore region, epidemics, or natural disasters.
