Note: All Speech Therapist personnel engaged under this Purchase Order must hold a valid license issued by the Korean Ministry of Health and Welfare and must be registered with the Korean Speech-Language-Hearing Association. Services are to be rendered exclusively at the designated facility in South Korea Seoul unless otherwise approved in writing by the Buyer. Scope of Services & Deliverables

This Purchase Order authorizes the procurement of qualified Speech Therapist professional services to be delivered in South Korea Seoul. The Speech Therapist(s) engaged under this agreement shall provide comprehensive speech and language assessment, diagnosis, and intervention for patients of all ages. The scope includes but is not limited to: articulation and phonological disorder therapy, language development intervention for children, aphasia rehabilitation for stroke and traumatic brain injury patients, swallowing disorder (dysphagia) management, and voice therapy. All clinical services must be conducted in accordance with the standards set forth by the Korean Medical Association and the applicable regulations of the South Korea Seoul Metropolitan Government Health Office.

Terms and Conditions

Acceptance: This Purchase Order becomes binding upon written acceptance by the Supplier. The Supplier shall confirm acceptance of this Purchase Order within five (5) business days of receipt.
Performance Period: The Speech Therapist services shall commence on July 1, 2025, and continue through June 30, 2026, unless terminated earlier in accordance with the termination clause.
Payment Schedule: Payment for the Speech Therapist services shall be made in monthly installments, due within thirty (30) days of the Buyer's receipt of a valid invoice. All payments shall be made in Korean Won (KRW) via bank transfer to the account designated by the Supplier.
Quality Assurance: The Supplier guarantees that all Speech Therapist personnel assigned to this Purchase Order shall possess a minimum of five (5) years of clinical experience and shall maintain current professional licensure throughout the performance period in South Korea Seoul.
Confidentiality: All patient records, clinical data, and proprietary information related to the Speech Therapist services shall be treated as strictly confidential in compliance with the South Korea Personal Information Protection Act (PIPA).
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration in South Korea Seoul under the rules of the Korean Commercial Arbitration Board.
Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of KRW 500,000,000 for all Speech Therapist activities conducted under this Purchase Order.
