- Scope of Engagement: This Purchase Order authorizes the Speech Therapist to deliver the services described above at the buyer's facility located in Madrid, Spain, or at the patient's residence within the Madrid metropolitan area, as mutually agreed upon in writing prior to each session.
- Service Period: The Speech Therapist shall render services from 1 July 2025 through 31 December 2025, subject to the quantities specified in this Purchase Order. Any additional sessions beyond the quantities listed shall require a written amendment to this Purchase Order.
- Professional Qualifications: The Speech Therapist warrants that he maintains valid professional registration with the Colegio Oficial de Logopedas de Madrid and holds current professional liability insurance with a minimum coverage of €1,000,000 per claim, as required by Spanish professional regulations.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day of the following month. Payment shall be made via direct bank transfer (SEPA) within 30 calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by Spanish Royal Decree 4/2013 on late payment in commercial transactions.
- Confidentiality and Data Protection: The Speech Therapist shall comply fully with the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection and Guarantee of Digital Rights. All patient records and clinical documentation shall be stored in accordance with Spanish health data regulations and shall not be disclosed to any third party without written consent.
- Service Location: All in-person services shall be conducted in Madrid, Spain. The Speech Therapist is responsible for travel time and expenses within the city of Madrid. Travel to locations outside the Madrid city limits shall be billed separately at a rate of €0.35 per kilometer, subject to prior approval.
- Quality Assurance: The Speech Therapist shall submit quarterly performance summaries to the buyer's clinical director. The buyer reserves the right to conduct periodic quality reviews of the speech therapy services delivered under this Purchase Order.
- Cancellation and Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination. The Speech Therapist shall ensure continuity of care for all active patients by providing transition plans and clinical handover documentation.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures, in accordance with Spanish Civil Code provisions.
