This Purchase Order is issued by Bangkok Wellness & Rehabilitation Centre Co., Ltd. to procure the professional services of a certified Speech Therapist for the duration of the contract period specified herein. The Speech Therapist shall provide comprehensive speech-language pathology services to patients and clients located in and around Thailand Bangkok, including but not limited to the Khlong Toei, Pathum Wan, and Bang Rak districts. All Speech Therapist services under this Purchase Order shall be rendered at the primary facility located at 88 Sukhumvit Road, Khlong Toei, Thailand Bangkok, or at such alternative locations within the Bangkok metropolitan area as mutually agreed upon in writing. The service period commences on 1 July 2025 and concludes on 30 June 2026. The Speech Therapist is required to maintain a minimum of 40 clinical hours per week at the Thailand Bangkok facility and shall provide a weekly progress summary to the Buyer's clinical management team.
5. Terms and Conditions- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices shall be submitted monthly by the 5th business day. All payments shall be made via bank transfer to the supplier's designated account in Thai Baht (THB).
- Professional Qualifications: The Speech Therapist assigned to this Purchase Order must hold a valid license issued by the Thai Ministry of Public Health, a Master's degree or higher in Speech-Language Pathology, and a minimum of five (5) years of clinical experience in the Thailand Bangkok region.
- Confidentiality: The Speech Therapist shall comply with all provisions of the Thailand Personal Data Protection Act (PDPA) B.E. 2562 (2019) and shall maintain strict confidentiality regarding all patient records and clinical data obtained during the provision of services in Thailand Bangkok.
- Substitution: The Buyer reserves the right to request substitution of the assigned Speech Therapist with reasonable notice of fourteen (14) days. Any replacement must meet or exceed the qualifications specified in this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute. The governing law shall be the laws of the Kingdom of Thailand.
- Performance Standards: The Speech Therapist shall adhere to the clinical protocols established by the Buyer and the Thai Society of Speech-Language Pathology. Quarterly performance reviews shall be conducted at the Thailand Bangkok facility.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Thailand Bangkok area.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Speech Therapist services in Thailand Bangkok. This document constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature.
