The Speech Therapist shall commence services on 1 July 2025 and shall continue through 30 September 2025, unless this Purchase Order is extended by mutual written amendment. All clinical sessions, assessments, and workshops shall take place in Turkey Istanbul, specifically within the Kadıköy and Üsküdar districts. The Speech Therapist is required to maintain a minimum of four (4) working days per week at the designated service location. Any relocation of the service site within Turkey Istanbul must be communicated to the Buyer no fewer than fourteen (14) calendar days in advance.

• Payment shall be made in three (3) equal monthly installments of TRY 713,000.00 (inclusive of VAT), due on the 5th business day of the following month (i.e., 5 August, 5 September, and 5 October 2025).
• All payments shall be transferred via bank wire to the account designated by the Speech Therapist in Turkey Istanbul. Bank details are attached as Appendix A to this Purchase Order.
• Late payments shall incur a penalty of 1.5% per calendar day, in accordance with Turkish Commercial Code (Türk Ticaret Kanunu) Article 30.
• The Buyer reserves the right to withhold payment for any sessions not delivered or found to be substandard upon clinical audit.

• Qualification Requirement: The Speech Therapist must hold a valid license issued by the Turkish Ministry of Health and be a registered member of the Turkish Speech-Language-Hearing Association (Türk Dil ve Konuşma Bozuklukları Derneği). Proof of licensure shall be provided prior to the commencement of services.
• Confidentiality: The Speech Therapist shall comply with all patient data protection obligations under the Turkish Personal Data Protection Law (KVKK, Law No. 6698) and the EU General Data Protection Regulation (GDPR) as applicable to operations in Turkey Istanbul.
• Insurance: The Speech Therapist shall maintain professional liability insurance with a minimum coverage of TRY 5,000,000 for the entire duration of this Purchase Order.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
• Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the Istanbul Arbitration Institute (ISTAC) in Turkey Istanbul, in accordance with its arbitration rules. The governing law shall be the Republic of Turkey.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Turkey Istanbul.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the provision of Speech Therapist services in Turkey Istanbul. This document, together with all attached appendices, forms the complete and exclusive agreement between the parties regarding the subject matter herein.
