5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Speech Therapist for the provision of speech-language pathology services within the jurisdiction of United Arab Emirates Dubai. All services shall be rendered in accordance with the standards set forth by the Dubai Health Authority and the American Speech-Language-Hearing Association (ASHA) guidelines.
5.2 The Speech Therapist shall maintain valid professional licensure, malpractice insurance (minimum coverage of AED 2,000,000), and all required certifications throughout the duration of this engagement. Any lapse in licensure shall result in immediate suspension of services.
5.3 Payment shall be processed within thirty (30) calendar days from the date of receipt of a valid tax invoice. Invoices must reference this Purchase Order number (PO-DXB-2025-04782) and include the VAT registration number of the Speech Therapist.
5.4 All patient records, assessment data, and clinical documentation generated during the course of this engagement shall remain the exclusive property of Al Noor Pediatric & Developmental Care Center LLC and shall be stored in compliance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
5.5 The Speech Therapist shall adhere to the facility's code of conduct, dress code, and operational hours (Sunday to Thursday, 08:00–18:00 GST). Any deviation requires prior written approval from the Director of Clinical Operations.
5.6 This Purchase Order is valid for a period of three (3) months from the date of issue. Upon expiry, either party may initiate a renewal process by submitting a written notice no later than fourteen (14) days before the expiration date.
5.7 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be referred to the Dubai Courts or, at the Buyer's discretion, to the Dubai International Financial Centre (DIFC) Courts for arbitration in accordance with UAE law.
5.8 The Speech Therapist shall not subcontract or delegate any portion of the services outlined in this Purchase Order without the prior written consent of the Buyer.
