- Payment Terms: Invoices for Speech Therapist services rendered under this Purchase Order shall be submitted monthly in arrears. Payment shall be made within 30 calendar days of receipt of a valid invoice via BACS transfer to the supplier's designated bank account.
- Service Location: All Speech Therapist services shall be delivered at pre-agreed locations within the United Kingdom Birmingham metropolitan area, including but not limited to the Corporation Street Community Health Centre, Edgbaston Primary School, and the supplier's own clinic at 45 Edgbaston High Street, Birmingham.
- Professional Qualifications: The Speech Therapist(s) engaged under this Purchase Order must hold a current RCSLT registration, a relevant degree in Speech and Language Therapy, and valid professional indemnity insurance of no less than £5,000,000.
- Confidentiality and Data Protection: The Speech Therapist and all associated staff shall comply fully with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All client records relating to Speech Therapist interventions shall be stored securely in accordance with NHS Information Governance standards applicable in United Kingdom Birmingham.
- Performance Standards: The Speech Therapist shall maintain a minimum attendance rate of 95% for all scheduled sessions. Failure to meet this standard for two consecutive months shall constitute a material breach of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Speech Therapist shall provide a minimum of four weeks' transition support to ensure continuity of care for all active clients in United Kingdom Birmingham.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR), with jurisdiction in the United Kingdom Birmingham courts.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales.
