The Speech Therapist engaged under this Purchase Order shall be a licensed and certified professional registered with the Vietnam Association of Speech-Language Pathology and Audiology, holding a minimum of five (5) years of clinical experience in the Vietnam Ho Chi Minh City metropolitan area. The therapist must demonstrate proficiency in both Vietnamese and English to serve the diverse patient population of the center.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of Speech Therapist services in Vietnam Ho Chi Minh City for a contract period of six (6) months commencing 1 July 2025 and concluding 31 December 2025.
2. The Speech Therapist shall comply with all applicable regulations of the Ministry of Health of Vietnam, including but not limited to the Law on Medical Examination and Treatment (Law No. 15/2023/QH15) and all local ordinances governing healthcare service delivery in Ho Chi Minh City.
3. All clinical services shall be rendered at the Buyer's facility located in District 1, Ho Chi Minh City, Vietnam, unless otherwise agreed in writing by both parties. The Speech Therapist is responsible for transporting any specialized therapy equipment to the service location.
4. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. The Buyer shall process payment via bank transfer to the Supplier's designated account in VND. Late payments shall incur a penalty of 0.05% per day as stipulated under Vietnamese commercial law.
5. The Speech Therapist shall maintain full professional liability insurance with a minimum coverage of 500,000,000 VND per occurrence, valid throughout the duration of this Purchase Order.
6. Confidentiality of all patient records and clinical data is strictly enforced. The Speech Therapist shall adhere to the Personal Data Protection Law of Vietnam (Law No. 13/2023/QH15) and shall not disclose any patient information to third parties without written consent.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered up to the effective date of termination.
8. Any disputes arising from this Purchase Order shall be resolved through mediation in Ho Chi Minh City, Vietnam. If mediation fails, the dispute shall be submitted to the People's Court of District 1, Ho Chi Minh City, for adjudication under Vietnamese law.
9. The Speech Therapist shall submit a written progress report to the Buyer's clinical director on the last business day of each month, detailing patient outcomes, session attendance, and any recommended modifications to therapy plans.
10. This Purchase Order is governed by and shall be construed in accordance with the laws of the Socialist Republic of Vietnam. All communications related to this order shall be conducted in Vietnamese, with English translations available upon request.

The Speech Therapist shall commence services on 1 July 2025 at the Buyer's facility in Vietnam Ho Chi Minh City. Clinical sessions shall be conducted Monday through Saturday, from 08:00 to 17:00 local time. The therapist shall maintain a minimum availability of 40 clinical hours per week. Any schedule modifications must be communicated to the Buyer at least 48 hours in advance in writing.
