This Purchase Order authorizes the procurement of specialized statistical consulting services rendered by the aforementioned Statistician. The engagement is governed by the commercial and labor regulations applicable in Argentina Buenos Aires, including but not limited to the Argentine Civil and Commercial Code (Ley 26994), the Tax Code (Código Fiscal de la Ciudad de Buenos Aires), and all applicable provisions of the Argentine National Statistics Institute (INDEC) professional standards.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Autonomous City of Buenos Aires, Argentina, and the national legislation of the Argentine Republic. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Argentina Buenos Aires.
- Payment Terms: Payment shall be made in two installments: 50% upon execution of this Purchase Order and 50% upon final acceptance of all deliverables. Payment shall be processed via electronic transfer (transferencia bancaria) to the account specified in Section 2. The Statistician shall issue a valid Factura A (electronic invoice) compliant with AFIP (Administración Federal de Ingresos Públicos) regulations prior to each payment.
- Delivery Schedule: All deliverables must be completed no later than 31 August 2025. The Statistician shall provide weekly progress reports every Friday via email to the Procurement Manager.
- Confidentiality: The Statistician agrees to maintain strict confidentiality over all data, proprietary models, and business information accessed during the engagement, in compliance with Argentine Law 25.326 on Personal Data Protection (Ley de Protección de Datos Personales).
- Intellectual Property: All statistical models, code, reports, and documentation produced under this Purchase Order shall be the exclusive property of Andes Data Analytics S.A. The Statistician retains the right to reference the engagement in professional portfolios, subject to prior written approval.
- Termination: Either party may terminate this Purchase Order with 15 days' written notice. In the event of early termination, the Statistician shall be compensated for all work completed and documented up to the termination date.
- Compliance: The Statistician warrants that all methodologies, data handling practices, and analytical procedures shall conform to the professional standards established by INDEC and the Argentine Society of Statistics (Sociedad Argentina de Estadística).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Buenos Aires metropolitan area.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the procurement of Statistician services in Argentina Buenos Aires. This document constitutes a binding commercial agreement effective from the date of the last signature.
