1. Commencement Date: The Statistician shall commence duties no later than 01 July 2025 at the Buyer's office located in Brazil São Paulo. The initial contract term is twelve (12) months, renewable by mutual written agreement.
2. Payment Terms: Payment for the Statistician's monthly professional services shall be made via bank transfer (TED/PIX) within fifteen (15) business days from the receipt of a valid invoice (Nota Fiscal) issued in accordance with Brazilian tax law. Software licensing and one-time items (Items 03 and 04) shall be paid within ten (10) business days of delivery or completion.
3. Work Location: The Statistician shall perform all duties at the Buyer's premises in Brazil São Paulo, unless a remote work arrangement is mutually agreed upon in writing. The Statistician must comply with all local labor regulations of the State of São Paulo and the Federal Republic of Brazil.
4. Confidentiality: The Statistician shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All data, models, and analytical outputs produced under this Purchase Order are the exclusive intellectual property of the Buyer.
5. Performance Standards: The Statistician shall deliver monthly analytical reports, maintain a 95% accuracy threshold on statistical deliverables, and participate in weekly cross-functional meetings with the Buyer's data science team in São Paulo.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Seller shall provide a full handover of all statistical work-in-progress and documentation.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo.
8. Compliance: The Seller warrants that the Statistician engaged under this Purchase Order is fully compliant with all applicable Brazilian labor, tax, and data protection regulations, including the General Data Protection Law (LGPD – Lei Geral de Proteção de Dados).
